CAMO CAN / ROLL-OUT RENTALS LLC — DUMPSTER RENTAL AGREEMENT
Effective Date: October 22, 2026 — Version v2026-10-22
This Dumpster Rental Agreement ("Agreement") is entered into between Roll-Out Rentals LLC d/b/a Camo Can ("Company") and the customer identified in the Booking Confirmation ("Customer"). Customer accepts this Agreement for each booking by checking the acceptance boxes and signing electronically at booking or in the payment link. If that acceptance was not recorded for any reason, Customer also accepts this Agreement by allowing delivery of the Dumpster after this Agreement was sent or made available to Customer with the Booking Confirmation. A Customer who accepted the current versions of this Agreement, the Electronic Consent & Payment Authorization, the Waste Types Addendum, and the Terms of Service, and received the current Privacy Policy, within the previous twelve (12) months may accept them for a new booking by confirming them at booking, as provided in Part IV of the Authorization; that confirmation is Customer's electronic signature for the new booking. This Agreement includes a small-claims and arbitration provision with a class-action waiver (Section S.3), a limitation of liability (Section 10), and a disclaimer of implied warranties (Section 10.5). Capitalized terms are defined in Section 1 or where they first appear in bold or quotation marks.

⚠️ IMPORTANT TERMS — PLEASE READ BEFORE BOOKING
This summary does not replace the full Agreement. The full terms control.
Your price. At booking you pay the Estimated Full-Load Total — our estimate at your load's Type Maximum. (Monthly rentals: the 30-day fee, delivery, and your final pickup and dump are charged at booking; any extra empty-out is estimated and paid through an approval link before it happens.) It is not a cap: after disposal, we compare the actual scale-ticket cost and facility used to your estimate and refund or charge the difference (Section 8). Your Booking Confirmation lists your service charges, including your Trip Charge.
Waste types. Select every waste type in your load; the most restrictive weight and volume limit applies. Roofing Debris is always booked by itself. Material you didn't select, or Specialty Items beyond what you declared, are recalculated (Sections 2.1, 8.5).
Prohibited in any amount: dirt, rock, gravel, sand, concrete, brick, block, asphalt, stucco, plaster, stone, ceramic or porcelain tile, countertops made of stone, quartz, or cultured marble, roof tiles, and similar heavy materials — plus water heaters, cast-iron tubs, railroad ties, hazardous materials, and everything on our Prohibited Materials Schedule (Section 4).
Refrigerant appliances must be declared, with a signed recovery or leaked-out statement or the recovery-at-facility option. Remodel debris from pre-1981 buildings: if asbestos is found, your estimate is void and you pay all actual costs (Sections 4.5, 4.6).
Placement. Pick a spot that's reasonably level — no steeper than a 15% slope (about a 1.5-foot rise over 10 feet) — or we may not be able to place the dumpster. Protect your driveway and yard: you choose the placement spot and access route and accept the risk of damage from normal weight there — including ruts in lawns or soil and damage to nearby trees, shrubs, and plants. Place plywood under the rails if you're concerned — we are not responsible for cosmetic marks (scuffs, scratches, rail or tire marks, rust or other stains, and minor indentations), which may be permanent (Section 3.1).
Mark it on the ground, not just the map. Map marks are approximate. To protect a septic system, well, cistern, storm shelter, sprinkler, or buried line, mark it on our booking map and on the ground with stakes, flags, or marking paint our driver can see from the truck, before we arrive, and keep the marks up for every visit until final pickup. If a buried item isn't marked both ways, you take the risk of damage to it (and the ground over it) from our truck, trailer, or dumpster, or a tow truck or other equipment we use to recover them or fix the load — even if we were careless — and you release us from those claims (but not for our gross negligence or willful misconduct). If it is marked both ways, we're responsible only if we were careless, up to the limits in Section 10 (or, for a stuck-truck recovery we make there without your agreement, as item (8) below says) (Sections 3.13(b), 3.13(j), 10.1(b)).
Placement, wet ground, and stuck trucks (Rental Agreement Section 3.13 — its subsections (a) through (k) control). In plain terms: (1) wet or unsafe ground can delay service — a failed trip can cost the Trip Charge, and a delayed pickup the Extension Rate for each day, up to 5 days; and (2) if our truck or trailer gets stuck, or the ground gives way under it, at your spot or on your route, you pay the actual towing and recovery cost (no dollar cap) and repair up to $2,500 — unless we were careless. Items (1)–(8) below say exactly when.
(1) Backup spot. If your spot isn't on a paved or compacted-gravel driveway or parking area (or a paved street spot you choose under Section 3.9), you must mark a backup spot on a paved or compacted-gravel driveway or parking area on your property (never on the street), unless your property has none. If you don't mark one (including when you aren't required to), your backup spot is the nearest suitable driveway or parking area on your property, chosen by our driver, outside any area you marked to avoid; we won't pick one that blocks your garage or your only way out if another suitable spot works, and we won't block your only way out at all unless you approve it. A backup spot our driver picks is treated as one you chose (Sections 3.1, 5.1, 6.1, and 10.3), and our driver's reasonable way to it (avoiding any area you marked to avoid) as a route you chose (Sections 3.1, 3.2, 3.8, 5.1, and 6.2) — including for damage to them from normal weight (including cracks and ruts) and, for the spot, the dumpster while it is there, blocked vehicles or garage doors, fines, and claims by others — even if you think our driver chose it carelessly (you can always mark your own backup spot instead) — but not for injuries or damage from careless driving or handling, and not for our truck (see (8)). Mark any area where you don't want the dumpster or our truck as an area to avoid — and before our next visit, mark any trench, fill, septic, or other buried hazard made or found after you book. An area you add after our truck has left for a visit counts for that visit only if our driver confirms seeing it before reaching it; it counts for every later visit. A street spot is used only if you choose it under Section 3.9. Map marks are approximate: also mark each area to avoid on the ground with stakes, flags, or marking paint that our driver can see from the truck, and keep those marks up for every visit until final pickup — we're not responsible for damage to a buried item, such as a septic system, well, or buried line, that isn't marked both on the map and on the ground, even if we were careless (but not for our gross negligence or willful misconduct), including at a backup spot our driver picks (Section 3.13(b)).
(2) Driver's call. Our driver may turn down any spot or route that, in the driver's reasonable judgment, is unsafe, unlawful, too soft, wet, snowy, or icy, or doesn't meet Section 5.1, and records why with photos. If our records don't reasonably support the decision, you aren't charged for it. If we decide before coming out that the ground will be unusable, no Trip Charge applies for that trip — but if we decided only on your own report and you then cancel, Section 9.1 applies. Section 3.13(c) has the details.
(3) At delivery, and when we bring back, swap in, or move a dumpster. If your spot or the way to it is declined, we try to reach you; if you don't approve another spot within 15 minutes of our first try, we use your backup spot. Any adult at your property who tells our driver they're acting for you, and whose name our driver records, can approve, ask for, or turn down a spot, or make your choice under (4) or (5), and that counts as your choice (but only you — through our link, in writing, or by phone with us (a live conversation on a call to us or one we make to your number — voicemail doesn't count) — can release an area you marked to avoid; another adult can't, and telling our driver in person doesn't count) — including for (8), except that a backup spot our driver picked stays our driver's pick.
(4) Failed delivery. If no suitable spot is available, or you decline the spot we can use, the Trip Charge applies to each try that fails (subject to Section 2.3). By the deadline in our notice (11:59 p.m. that day, or 4 hours after the notice if later — and, if we told you before coming out, never before 11:59 p.m. on your scheduled date) you choose — through our link, in writing, in person to our driver, or in a live call with us (voicemail doesn't count) — to cancel (refunded less each Trip Charge owed for a failed delivery and any reschedule extension fee, unless (7) says it is refunded) or to accept new dates we offer, subject to availability. If you don't choose, the booking is cancelled and refunded the same way. If you accept new dates and later cancel after the Section 9.1 deadline for the new date (if you accept after that deadline, or less than 4 hours before it, you still have 4 hours after accepting), we also keep the Trip Charge for that late cancellation. If you declined a suitable spot, or no spot works for another reason within your control (such as slope, overhead clearance, or blocked access), your pickup date doesn't change (turning down a backup spot our driver picked that would block your garage or only way out doesn't count as declining a suitable spot), and if no delivery date before it is available, your choice is to cancel. If a second or later delivery attempt fails only because of the ground, we may cancel; then we also refund the reschedule extension fee. Refunds are made within 5 Business Days.
(5) Mid-rental. If we can't put back the emptied Dump & Return dumpster, place a Swap replacement, pick up for a Dump & Return, Swap, or move, or place a dumpster you asked us to move, the Trip Charge applies to each try that fails, subject to Section 2.3. If we couldn't bring a dumpster back, by the notice deadline you take a new date we offer or end the rental (the dumpster isn't returned, and your prepaid final pickup and disposal are credited); if you don't choose, we bring it on the first offered date still available. If you declined a suitable spot, we offer only dates before your pickup date, and if a second or later try fails only because of the ground, we may end the rental. If we couldn't start a Dump & Return, Swap, or move, you accept a new date or withdraw the request (no choice withdraws it), and we refund what you paid for it within 5 Business Days, keeping any Trip Charge owed for it. We never leave two dumpsters, and mid-rental failures never cancel the booking. Section 3.13(g) has the details, including a move that can't be placed.
(6) Delayed pickup. If a pickup is delayed only because the ground can't be driven on (unless the dumpster was moved without our consent), your rental still ends on your pickup date, no Holdover applies, the Trip Charge applies to each pickup try that fails (subject to Section 2.3), and the Extension Rate applies for each day after your pickup date, up to and including the day we pick it up, up to 5 days per booking (not for days we suspend service). We pick it up on a day our driver judges the ground can be driven on — we don't need to come check first — and you may ask us, with a current photo, to come on a day you choose within 5 Business Days after your pickup date. You accepted the ground's risk by choosing a spot that isn't paved or compacted gravel, and our choosing the day doesn't make us responsible for ruts or a stuck truck. If you add material after your pickup date, or if you or someone you allow at the property waters or washes the area after we ask you to stop, Holdover applies instead from that day through the day you tell us in writing that it has stopped (and, if you added material, that no more will be added). Only water put on the spot or route counts, shown by our dated photos or video taken after we asked you to stop, or by your written admission; rain, runoff, neighbors' water, and leaks you report and fix promptly don't count.
(7) Reschedule. You may move a delivery once for ground conditions, through our link (or in writing if the link isn't working), before 2 p.m. on the last Business Day (Monday–Thursday) before the delivery date, to an available date no more than 5 Business Days after it, for a reschedule extension fee (the Extension Rate for one day; it doesn't add a rental day). It isn't refunded if the booking is later cancelled, except in the cases Section 3.13(i) lists (for example, when we cancel, when we move the delivery for our own reasons or an event beyond our control, or when our records don't support our decision). Wet, soft, snowy, or icy ground at your spot or on the way to it on your property (or, for a street spot, at the spot itself) is not an event beyond our control for this item. Any scheduling discount for your original dates is added back to what you owe, and any free days given for them are lost. If we warn you that the ground is likely too wet, or our day-before reminder asks you to check your spot, and you keep your date, the Trip Charge for each try that fails and the stuck-truck costs in (8) apply.
(8) Stuck truck. If, on your property, our truck or trailer gets stuck, or the ground or surface gives way under it, at a spot you picked or approved, a backup spot you marked, or a spot you, or someone you allowed at your property, moved the dumpster to without our consent, or while going to or from that spot along your driveway and the route you marked (or, if you marked none, a reasonable route our driver chooses from the nearest usable point on your driveway or usual entrance, which may cross your lawn), including, on either route, any reasonable move off it needed to get around an obstacle (not standing water, soft ground, snow, or ice) or an area you marked, or to turn or back our truck and trailer into position — you pay the actual, reasonable cost of towing or recovery and of repairing damage to our truck or trailer caused by the event or its recovery (towing and recovery have no dollar cap; repair is capped at $2,500 per event, and never more than the vehicle's value), except to the extent we or our tow company were careless (including by leaving that route when not needed or entering an area you marked). We must show where it happened with photos taken before recovery (including tire tracks where the ground shows them), and you authorize us to charge your saved card no sooner than 10 days after we send you the invoice and photos (we notify you within 120 days after it happens, with photos and an estimate if the repair isn't finished; we charge only the invoiced amount, even if your rental has been settled — and if you dispute the charge in writing before we make it, we don't charge until we've answered you). You owe nothing for our truck or trailer if it happens anywhere else, including going to, at, or from a backup spot our driver picked (even if you, or someone acting for you, approved or asked for it; going to it starts when our driver decides to use it, but driving or backing out along the route to your spot — from your spot or from any point on that route our truck reached — still counts as coming from your spot until our truck reaches your driveway or usual entrance) — unless it was caused, in a real part, by your willful misconduct (such as on purpose), by your knowingly misstating your surface or whether your property has a paved or compacted-gravel driveway or parking area, or by your knowingly not marking a septic tank, cistern, well, trench, fill, or other buried or soft-ground hazard, or by an overweight load or prohibited material in it that we couldn't reasonably spot before lifting. Either way, unless you caused it through willful misconduct (such as on purpose), that is all you owe for our truck and trailer for their getting stuck or the ground giving way under them (this doesn't cover other damage, such as a vehicle hitting our truck, or blocking our recovery — see the end of this item). A dumpster on our truck or trailer, or being loaded or unloaded, counts as part of our truck or trailer. Damage to a dumpster already placed at your property is covered by Section 6.1, but you owe nothing for it if it comes from our truck or trailer getting stuck, or the ground giving way under it, in an event you owe nothing for under this item. For an event you pay for under this item, you accept the risk of damage to a spot or route described in the first sentence of this item, and the ground on your property next to them that the tow truck needs (outside areas you marked), from a careful recovery, including by a tow truck heavier than ours — except to the extent our or our tow company's carelessness caused the event. Whoever pays, you let us and our tow company onto your property to recover our truck, trailer, or dumpster — outside areas you marked, unless you agree in writing (such as by text), there's no other reasonable way, or you don't answer within 2 hours after we ask (then we use only the least part of that area needed, and unless you agreed, we're responsible for damage the recovery causes to it, whether or not we were careless, only if it was also marked on the ground with stakes, flags, or marking paint (marks you put out after we ask also count), up to the greater of what you paid or $10,000; if it wasn't, the rules for unmarked areas apply, and we're not responsible for damage to a buried item there, such as a septic system, even if we were careless, except for our gross negligence or willful misconduct (Section 3.13(b))). If it's an event you owe nothing for, our responsibility for damage the recovery causes to your property is as stated in Section 10 (for damage we cause carelessly, up to the greater of what you paid or $10,000, except for buried items not marked on both the map and the ground — Section 3.13(b)); using a heavier tow truck isn't by itself careless. If, after we've told the person on site, and told you by email and text, that the recovery is allowed under this item and what stopping it will cost you, you or someone you allow at your property stops it — by refusing entry, telling us or our tow company to stop or leave, or blocking it — you also pay the extra towing, recovery, and storage costs, court costs and, where the law allows, reasonable attorney's fees, and the cost of renting a replacement truck and trailer until we're let in (none of these is limited by the $2,500 repair cap).
Overhead clearance. We need the clear height over your driveway and route, the clear height over your spot and the area in front of it where the trailer tilts, the straight, level run lined up with your spot, and the width all the way in that are shown when you pick your spot and in your Booking Confirmation. If low branches are in the way, we may either charge the Trip Charge or trim them ourselves and put the cuttings in the dumpster — you agree to that trimming by accepting this Agreement, and you accept its effect on the plant. We never cut trunks, anything near power lines, or a neighbor's or the city's trees. If you don't want branches cut, choose a spot and route our truck and trailer don't have to pass under (Sections 3.14, 5.1).
Failed trips. If we can't finish a delivery, pickup, or other service because of something within your control — such as blocked or locked access, an overfilled or overweight load, prohibited items, or a spot or route our driver can't use — our driver contacts you and waits at least 15 minutes for you to fix it (longer if the driver chooses; sooner only if staying is unsafe). If it isn't fixed, the Trip Charge applies to that try, and to each try that fails (Sections 3.3, 3.4).
Cancellation: you get back everything you paid, less the card-processing fee, any Trip Charge owed for an earlier failed delivery, and any reschedule extension fee (unless Section 3.13(i) refunds it), if you cancel by 2:00 p.m. Central on the last Business Day before delivery. After that, we keep the Trip Charge — the standalone-trip price stated at booking, which can be more than the trip lines of your estimate — plus any Trip Charge owed for an earlier failed delivery and any reschedule extension fee (unless Section 3.13(i) refunds it). If a delivery attempt has failed, or we told you before coming out that the ground is too wet, snowy, or icy (unless we decided that based only on your own report — then item (2) above applies), and no new delivery date has been confirmed yet, the failed-delivery rules apply instead — Section 3.4(d) and, for a spot or ground problem, item (2) or (4) of "Placement, wet ground, and stuck trucks" above — and no additional Trip Charge is kept (Sections 1.25, 3.4, 3.13, 8.1(c), 9.1). No cancellation refund after delivery (your disposal settlement still applies) (Section 9.1).
Early pickup is not refunded (Section 2.5). Extensions are charged at the Extension Rate shown at checkout, per day, must be requested by 2:00 p.m. Central on the last Business Day before pickup, and are confirmed only when paid through your link (Section 2.4).
Holdover: the Holdover Rate shown at checkout for each day the dumpster stays past the scheduled pickup for reasons within your control (it costs more than an Extension Day because it isn't planned; ask for an extension by the Section 2.4 deadline to avoid it) — not while only wet, soft, snowy, or icy ground delays pickup, unless the dumpster was moved without our consent, you add material after your pickup date, or you or someone you allow at the property waters or washes the area after we ask you to stop (Sections 3.13, 7.1).
Have the load ready: below the rim, rear door closed and latched, within the Type Maximum, no prohibited materials. If our driver can make a minor correction on site, the Load Service Charge applies (Section 7.1). Otherwise the Trip Charge and holdover apply, or — after written notice — we may fix the load and charge for the work (on-site time as Service Time; third-party costs at actual cost) (Section 5.3). If an extra dumpster is needed to take the overload, it is a separate booking (delivery, pickup, and disposal, with no rental days) charged to your card before we bring it, and we pick it up as soon as we can. If that charge is declined, we may instead set the excess on the ground on your property (never the street), where it stays yours to remove and dispose of (Section 5.3(c)).
Extra time and cleaning. If you ask our driver to wait past the 15 minutes, if the load is frozen or stuck and won't dump, or if the dumpster comes back needing cleaning, we charge Service Time at the rate shown at checkout, in 15-minute blocks, plus any third-party costs at actual cost; cleaning also adds the Holdover Rate for each day the dumpster is out of service (Sections 3.3, 5.3(d), 6.1, and 7.1).
Scheduling. Same-day and next-day bookings may be limited or unavailable, and same-day bookings close at the cutoff shown when you book. How far ahead you can book is also shown when you book and may change, but a change never affects a booking already confirmed. If we have to move your delivery or pickup for our own reasons (for example, a breakdown or road conditions), or for weather or government orders, we'll tell you and there's no charge for the delay — and if we move your delivery, you may cancel and get back everything you paid except any Trip Charge owed for an earlier failed delivery (Sections 2.6, 10.4). Wet, soft, snowy, or icy ground at your spot or on the way to it on your property (or, for a street spot, at the spot itself) — whether our driver finds it on arrival or we decide before coming out — is handled under Section 3.13 instead, and the charges in items (2), (4), (6), and (7) of "Placement, wet ground, and stuck trucks" above can apply. Business Days are Monday–Thursday (excluding federal holidays). We act on messages during 8:00 a.m.–2:00 p.m. Central. Your deadlines are met based on when you send (Section 3.12).
Inspect on delivery. Report damage by 10:00 a.m. the next Business Day using the link in your delivery notice (Section 6.1). You're responsible for everything in the dumpster, no matter who put it there (Section 6.2).
Charges you didn't pre-approve: we send an itemized notice with supporting documentation, at or before the time we charge your card (Section 9.3). For charges after pickup, we send that notice within 120 days after disposal (stuck-truck charges follow Section 3.13(j)). Question a charge within 60 days (Section S.4).
Liability: limited to what you paid — or, for property damage we negligently cause, the greater of what you paid or $10,000 (the same limit applies, whether or not we were careless, if we enter an area you marked to recover a stuck truck without your agreement, but only if the area was also marked on the ground — item (8) above; and we're not responsible for damage to a buried item that wasn't marked both on the map and on the ground, even if we were careless — Section 3.13(b)). These limits don't apply to injury we negligently cause, gross negligence, willful misconduct, or where the law forbids them. No liability for cosmetic marks; the dumpster is provided as is, with no implied warranties (Section 10).
Disputes: claims up to $10,000 go to small claims court; larger claims go to individual arbitration, with no class actions. You may opt out of arbitration within 30 days (Section S.3). Oklahoma law applies.
Tax exemption. If you claim a sales tax exemption at booking, you certify it and give us your permit number. If it is later disallowed, you pay the tax, interest, and penalties (Section 8.9).
Scheduling offers. We choose which dates we offer. If we offer you a different date with free days or a discount, those days are part of your rental at no charge and the discount applies to that booking only — but if you later move those dates yourself, the discount amount is added back to what you owe, and if you move them with a ground-conditions reschedule under item (7) of "Placement, wet ground, and stuck trucks" above, the free days are also lost (Sections 2.7, 3.13(i)).
Reschedules we make for weather or government orders are at no charge (if your spot or the way to it on your property, or for a street spot the spot itself, is too wet, soft, snowy, or icy — whether our driver finds it on arrival or we decide before coming out — Section 3.13 applies instead). Emergency-period pricing follows Oklahoma law (Sections 8.8, 10.4).
SECTION 1 — DEFINITIONS
1.1 "Dumpster" means the roll-off container delivered under this Agreement, including its tarping system and all component parts, and any replacement container delivered under Section 3.10.
1.2 "Service Address" means the delivery address stated in the Booking Confirmation, as changed under Section 3.5 or 3.11.
1.3 "Yard" means Company's storage and staging facility, currently in Wagoner, Oklahoma, or any other facility Company designates. The Yard location used for a booking's estimate is recorded in the Basis Record.
1.4 "Business Day" means Monday through Thursday, excluding federal holidays as observed and any day on which Company's operations are suspended under Section 10.4.
1.5 "Last Business Day before" a date means the most recent Business Day preceding that date. Example: for a Monday delivery, the last Business Day before delivery is the preceding Thursday.
1.6 "Business Hours"; Central Time. "Business Hours" means 8:00 a.m. to 2:00 p.m. Central Time (America/Chicago, including daylight saving time) on a Business Day. All times in this Agreement and in Company's notices are Central Time. Unless otherwise stated, deadlines expire at 2:00 p.m. Central Time.
1.7 "Type Maximum"; "Estimated Full-Load Total." (a) "Type Maximum" means, for each waste type, the maximum weight and maximum volume permitted for that type, as displayed at booking and stated in the Booking Confirmation. Where no lower maximum is displayed, the Type Maximum is four (4) tons (8,000 pounds) and fourteen (14) cubic yards. Volume is measured as the Dumpster's capacity filled level with the top rim; a lower volume maximum corresponds to a proportionally lower fill level (for example, 10.5 cubic yards is approximately three-quarters of the Dumpster's height). A load reaches the Type Maximum when it reaches either limit, whichever occurs first. For a Combined Selection, the Type Maximum is determined under Section 2.1. No quantity above the Type Maximum is estimated or permitted. (b) "Estimated Full-Load Total" means the total estimated charge for a booking at the Type Maximum, calculated and charged at booking under Section 8.1 and settled under Section 8.3. It is an estimate, not a maximum charge.
1.8 "Specialty Items" means the items designated as Specialty Items in Company's booking system and in the Waste Types Addendum presented at booking — currently appliances, off-rim tires, mattresses, box springs and futons, electronics, and fully dried paint — each accepted only when declared and included in the estimate at booking, within any quantity cap displayed at booking, and subject to the Waste Types Addendum. Undeclared Specialty Items, or quantities above those declared, are governed by Sections 4.1 and 8.5.
1.9 "Fuel-Cost Basis" means the fuel cost per gallon, including Company's fuel-cost buffer, incorporated in Customer's original estimate, as measured by the published fuel-price index identified in the Booking Confirmation and Basis Record.
1.10 "Standard Rental" means any rental other than a Monthly Rental.
1.11 "Monthly Rental" means a rental with a Rental Period of thirty (30) full calendar days, not counting the delivery day or the pickup day. The scheduled pickup date is the first Business Day after the thirtieth full day, and any days between the thirtieth full day and that Business Day are included at no charge. The term begins on the day the Dumpster is delivered, except that where delivery is delayed by a condition within Customer's control, the term begins on the scheduled delivery date.
1.12 "Extension Rate" means the per-day charge for approved extension days under Section 7.1(1), in the amount shown at checkout and stated in the Booking Confirmation.
1.13 "Rental Period" means the period the Dumpster is at the Service Address for a booking, beginning when the Dumpster is delivered and ending when Company picks it up, as adjusted under this Agreement; the Rental Period of a Monthly Rental is stated in Section 1.11.
1.14 "Load Service Charge" means the charge described in Sections 5.3(a) and 7.1(3).
1.15 "Dry Run" means a failed service attempt as described in Section 3.4 or 3.13.
1.16 "Waste Types Addendum" means Company's published schedule of waste types, accepted and prohibited materials, and Specialty Items — Addendum A (Standard Waste Types), including its Schedule A-1 (Prohibited Materials Schedule) — incorporated by Section S.2, as presented to Customer at booking. Waste types and Specialty Items may be enabled or disabled in Company's booking system, and some waste types are available only by arrangement with Company and cannot be selected online; a type not offered for a booking cannot be selected for it.
1.17 "Combined Selection" means a booking for which more than one waste type is selected. Its Type Maximum, eligible disposal facilities, and pricing are determined under Section 2.1.
1.18 "Reasonable Wear and Tear" means minor cosmetic impacts consistent with normal hand-loading of permitted materials, loading by Customer-operated machinery expressly permitted in the Booking Confirmation under Section 6.4, and ordinary transport and pickup — for example, minor paint scratches, small scuffs, and paint fading. It excludes structural damage, deep dents, door or hinge damage, fire or heat damage, graffiti, damage from machinery use not permitted, damage from third-party compaction services, damage from unauthorized movement or relocation of the Dumpster, and residue requiring cleaning under Section 6.1.
1.19 "Service Area" means locations within a fifty (50) mile straight-line radius of the Yard, as determined by Company's booking system at booking. Company may, in its sole discretion, decline any booking, or accept a booking outside the Service Area (within the State of Oklahoma), which is then governed by this Agreement in all respects.
1.20 Reserved.
1.21 "Notice Channels." Written notice to Company must be given through the booking's management page reached through the booking link Company sends (a request or notice submitted there is written notice, received when submitted). If the management page cannot be used for a notice, for example because the booking link has been lost and a new one has not yet arrived or the page is unavailable, written notice may instead be sent by email to support@camo-can.com. These are the only channels for written notice, except where this Agreement or the Electronic Consent & Payment Authorization expressly permits mail, and except a text reply that a text from Company asks for, such as a reschedule text under Section 10.4 or Company's request for consent under Section 3.13(j). Text messages and telephone calls to Company's number, (918) 935-1054, including replies to Company's automated texts, and voicemail, social media, other website contact forms, and statements to drivers are not written notice, although Company may respond to them; a reply of STOP, CANCEL, or another opt-out word stops automated texts only and does not cancel a booking. Notices to Customer are sent to the email address of record, and to the mobile number of record where Customer has opted in to text messages, under the Electronic Consent & Payment Authorization. The booking link Company sends is unique to the booking. Customer shall keep it private and is responsible for requests and notices submitted through it, except that Company requires a one-time code sent to Customer for cancellations, refunds, and contact changes made through the booking link (contact changes may also be made as Part I, Section 1.3 of the Authorization provides, and choices under Section 3.13 as that Section provides). Customer may ask Company at any time to send a new booking link, which turns off the earlier booking link; single-use links for a specific estimate, approval, payment, or notice keep working until used, withdrawn, or expired.
1.22 "Basis Record" means the records Company creates for each booking under Section 8.2, including the Booking Confirmation, the version of each document presented at booking, rates and facility data recorded at booking, delivery and pickup photographs and video, scale tickets, and communications. A copy is available to Customer on written request; the copy provided excludes Standard Rates and Company's internal cost data.
1.23 "Standard Rates" means Company's internal per-mile, labor, and minimum service-charge rates, recorded in the Basis Record. The Standard Rates in effect at booking apply to the booking's original estimate. Every amount calculated for a booking after booking — including estimates transmitted with an approval link and charges Customer has not approved — uses the Standard Rates recorded at booking, adjusted only by the Fuel Surcharge under Section 8.8. Fixed charges stated in Section 7.1 do not change after booking. Standard Rates are Company's confidential business information. Company discloses the resulting price of each service before payment is due, and will provide the miles, time, and Standard Rates applied to Customer's booking to the arbitrator or court in any dispute concerning a charge.
1.24 "Booking Confirmation" means the confirmation Company's booking system issues after Company accepts a booking and payment authorization succeeds, stating the Customer, the Service Address, selected waste type(s) and Specialty Items, Type Maximum, Rental Period and scheduled dates, Estimated Full-Load Total, Trip Charge and other service charges, the published fuel-price index and the Fuel-Cost Basis (the index price, in dollars per gallon, above which a Fuel Surcharge may apply under Section 8.8), machinery status, the Service Time Rate, the clearance and space minimums under Section 3.14(a), and any insurance-certificate requirement.
1.25 "Trip Charge" means Company's price for a standalone trip from the Yard to the Service Address and back, including the on-site wait period and Company's minimum service charge for a standalone trip, calculated at booking at the Standard Rates recorded for the booking. The Trip Charge is a separate price from the trip lines of the itemized estimate under Section 8.1(c) and may be higher than any of them. It prices the services Company commits to a trip: dispatch and scheduling, driver travel from the Yard to the Service Address and back, the on-site wait period, and the related customer communication and schedule adjustment. The Booking Confirmation states the Trip Charge amount, describes what it covers, and identifies it as the charge for a Dry Run under Section 3.4 or 3.13, the amount retained on a declined late address change under Section 3.5(e), the amount retained, where Section 3.13 provides, on a cancellation or withdrawal under Section 3.13(f) or (g), and the amount retained on a late cancellation under Section 9.1. The Trip Charge amount is displayed before Customer accepts the booking.
1.26 "Accepted Contents" means material that (A) is a waste type selected for the booking or a declared Specialty Item, (B) is not prohibited under Section 4.1, and (C) is entirely inside the Dumpster, at or below the top rim, when Company begins loading the Dumpster for removal.
1.27 "Service Time Rate" means the price per fifteen (15) minutes of on-site or facility time stated in the Booking Confirmation and recorded with the booking at the time of booking. Service Time is charged only where this Agreement provides for it, in fifteen-minute blocks, each block begun counting as a full block, and is evidenced by the recorded start and finish times. The Service Time Rate is a published service price; it is not Company's internal labor rate under Section 1.23.
SECTION 2 — RENTAL PERIOD, EXTENSIONS, AND EARLY PICKUP
2.1 Standard Rentals; Waste Type Selection. The Rental Period begins when the Dumpster is delivered and ends when Company picks it up. A Standard Rental includes six (6) full use days; the delivery day and the pickup day are not counted, and Customer also has use of the Dumpster on those days. The scheduled pickup date is stated in the Booking Confirmation and is a Business Day; any day between the sixth full use day and that date is included at no charge.
Customer may select one or more of the waste types offered for a booking, except that Roofing Debris may be selected only by itself and is never part of a Combined Selection (Waste Types Addendum Section 4). For a Combined Selection: (i) the Type Maximum is the lowest weight maximum and the lowest volume maximum among the selected types; (ii) the estimate is calculated only at disposal facilities that accept every selected waste type and declared Specialty Item, using, at each facility, the highest rate that facility charges among the selected waste types, with Specialty Items priced per item; and (iii) together, the accepted-materials lists of the selected types control what may be loaded. If material of a waste type not selected is present at pickup and Company elects under Section 4.1 to collect it, the load is recalculated under Section 8.5 based on the material actually present, and the Type Maximum and facility restrictions for the recalculated combination apply. Selecting a waste type never permits loading material prohibited under Section 4.1.
2.2 Monthly Rentals. The Rental Period for a Monthly Rental is defined in Section 1.11, and its scheduled pickup date is stated in the Booking Confirmation. Monthly Rentals are billed as provided in Section 8.1(b). Monthly Rentals do not renew automatically. To keep the Dumpster beyond the term, Customer must book a new Monthly Rental term or obtain an extension under Section 2.4. Otherwise, Company will pick up on the scheduled pickup date.
2.3 Service Dates and Times; Short-Notice Bookings. Deliveries and pickups are scheduled only on Business Days, at Service Addresses accepted under Section 1.19. Company may offer, limit, or disable same-day and next-day ("short-notice") bookings at any time. When offered, a same-day booking must be completed before the same-day cutoff shown in the booking system (currently 11:00 a.m. Central), and a short-notice booking may require Company's review and approval before it is confirmed. Customer may cancel a booking awaiting Company's approval for a full refund at any time before Company confirms it; once confirmed, Section 9.1 applies. Company sets, and may change at any time, how far in advance a delivery may be booked; the latest delivery date available is shown in the booking system when Customer books, and the same limit applies to a change of dates Customer requests. A change to that limit does not affect a confirmed booking, and it does not limit an extension, a reschedule under Section 3.4 or 3.13(i), or a date Company offers or sets under Section 2.6, 2.7, or 10.4. Company's standard service window is 8:00 a.m. to 2:00 p.m. on the scheduled date. Company may perform service at any other reasonable time on the scheduled date, consistent with applicable local ordinances, and does not guarantee a specific arrival time. No Dry Run charge applies to an attempt made outside the standard service window unless Company notified Customer by text or email of the approximate arrival time at least two (2) hours before the attempt, or notified Customer by text or email, before the end of the standard service window that day, that the service would be performed later that day. Where a service is rescheduled after a failed attempt under Section 3.4, Company may complete it outside the standard service window on a date agreed with Customer, on the same notice and at no additional charge. Company schedule changes are governed by Section 2.6. Access requirements are governed by Sections 3.2–3.4.
2.4 Extensions.
(a) Reminders. Company may send reminder notices before the extension deadline. Reminders are a courtesy; Customer is responsible for requesting an extension whether or not a reminder is received.
(b) Request Deadline. Customer may request an extension by written notice under Section 1.21 no later than 2:00 p.m. on the last Business Day before the scheduled pickup date. Company may, in its discretion, consider a later request.
(c) Terms. Extension days are charged at the Extension Rate. The number of extension days equals the number of calendar days after the current scheduled pickup date, up to and including the new pickup date. The new pickup date must be a Business Day; where it falls after a weekend or holiday, each intervening day is an extension day. Each request may extend the pickup date by no more than seven (7) days; Customer may make additional requests. Extensions are subject to Company's scheduling availability, and Company may decline or limit any extension, including by performing pickup as scheduled.
(d) Approval and Payment. For a request Company accepts, Company will transmit an extension estimate with a single-use approval link. An extension is confirmed and scheduled only when Customer approves it and payment in full is completed through the link. Until then, the scheduled pickup date does not change and Company may perform pickup as scheduled. An unpaid link expires at the earlier of (i) 2:00 p.m. on the first Business Day after Company transmits it, or (ii) 7:00 a.m. on the scheduled pickup date.
(e) Days Already Past. Extension days begin no earlier than the day after the extension is confirmed. Any day the Dumpster remained beyond the scheduled pickup date before confirmation is a Holdover day where Section 7.1(2) applies to it; but where Customer requested the extension by the deadline in subsection (b), no Holdover accrues for any day before Company transmits the extension estimate or declines the request, and each such day is instead charged at the Extension Rate where the extension is then confirmed.
2.5 Early Pickup.
EARLY PICKUP AND EXTENSION DAYS ARE NON-REFUNDABLE. NO REFUND OF RENTAL-PERIOD, DELIVERY, PICKUP, OR TRAVEL CHARGES IS AVAILABLE FOR EARLY PICKUP, AND EXTENSION CHARGES RESERVE CAPACITY FOR EACH APPROVED DAY. YOUR REFUNDABLE AMOUNTS ARISE ONLY THROUGH THE SECTION 8 RECONCILIATION OR AS OTHERWISE EXPRESSLY PROVIDED IN THIS AGREEMENT (INCLUDING SECTIONS 2.6, 3.4(d), 3.5, 3.13, 8.8, 9.1, 9.6, AND 10.4).
Customer may request early pickup by written notice, subject to Company's scheduling availability. Early pickup does not entitle Customer to any refund of rental-period, delivery, pickup, or travel charges, and the full booking charge remains due, subject to the reconciliation in Section 8. For Monthly Rentals, early pickup before the end of the Rental Period entitles Customer to no refund of rental-period charges. Extension charges reserve the container and schedule capacity for each approved extension day and are payable in full at approval. Company may, in its sole discretion, issue a goodwill credit in connection with an early pickup. Any such credit is not required by this Agreement, creates no refund entitlement, and, under Section 9.4, does not waive this Section or create a right to a credit in any other instance.
2.6 Company Schedule Changes. Company may reschedule a delivery, pickup, or other service to its next available Business Day when the service cannot be completed as scheduled because of equipment breakdown, driver availability, route capacity, container availability (including delays caused by other customers), disposal-facility closures or delays, road or site-access conditions, or any other operational disruption, whether or not within Company's control. This Section does not apply to ground conditions at a placement location or access route, which Section 3.13 governs (except where Section 3.13 applies this Section), or to any other condition within Customer's control under Section 3.4. The condition of a private road, shared driveway, or easement off the Service Address property is a site-access condition under this Section. Company will notify Customer by email, and by text where Customer has opted in, as soon as practicable, stating the new date. No Holdover, Extension, or Dry Run charge applies to any day of delay caused by a Company schedule change; for a delayed delivery, the Rental Period begins on actual delivery and the scheduled pickup date moves by the same number of days (to the next Business Day where needed); and for a delayed pickup, no charge accrues for the added days. If Company moves a delivery from its scheduled date, Customer may cancel the booking at any time before the rescheduled delivery by written notice, and Company will refund all amounts paid except any Trip Charge owed for an earlier failed attempt under Section 3.4 or 3.13, with no processing fee retained. Customer's remedy for a Company schedule change is the rescheduled service or, for a moved delivery, that cancellation right. Instead of moving a delivery to a later date, Company may offer to deliver earlier than scheduled; an earlier delivery is made only with Customer's agreement, given through the link Company provides or by written notice, the scheduled pickup date does not change, and the added days are rental days at no charge. If Customer does not agree, the delivery is rescheduled under this Section. Company will complete a rescheduled pickup within a reasonable time, and Customer is not responsible under Section 3.9 for fines arising solely from a Company-caused delay. Force majeure events are governed by Section 10.4.
2.7 Scheduling Offers; Promotional Days and Discounts.
(a) Which dates Company offers. The dates Company shows as available are the dates Company is offering to serve, which Company sets at its discretion and may change, withdraw, or decline to offer for any reason. Availability shown is an invitation to book on those dates and is not a representation about Company's capacity, equipment, or schedule on any date not offered.
(b) Promotional days. Where Company offers Customer additional rental days at no charge in exchange for taking a different delivery or pickup date, those days form part of the Rental Period on the Booking Confirmation. No rental, extension, or per-day charge applies to them, and no holdover accrues for them under Section 7.1(2). Every other term of this Agreement applies to them unchanged, including the Type Maximum, the prohibited materials in Section 4, and Customer's obligations for the Dumpster and the placement area.
(c) Scheduling discount. A scheduling discount is a one-time reduction of the amount due on the booking it was made for. It is not a change to Company's rates, does not apply to any other booking, charge, or service, and does not carry over. If the booking is cancelled, the discount lapses and refunds are calculated on the amount actually paid. If the dates it was given for are later changed at Customer's request, the discount does not apply to the revised dates, and the amount credited is added to the amount due for the revised booking.
(d) No obligation. An offer under this Section is made at Company's discretion, may be withdrawn before it is accepted, and creates no entitlement to the same or any similar offer on another booking.
2.8 Multiple Dumpsters. Customer may book more than one Dumpster for the same Service Address, subject to availability. Each Dumpster is a separate booking under this Agreement, with its own placement location meeting Sections 3.13, 3.14, and 5.1, its own Type Maximum, Rental Period, Estimated Full-Load Total, Trip Charge, and Basis Record, and its own settlement under Section 8.3. A condition affecting one booking does not change the charges of another booking. Section 3.10's rule that Company never leaves a second Dumpster applies to each booking separately.
SECTION 3 — DELIVERY, PLACEMENT, ACCESS, ADDRESS CHANGES, DUMP AND RETURN, SWAPS, RELOCATION
3.1 Placement; Protective Material; Cosmetic Marks. Customer designates the placement location and access route and assumes the risk of damage to them — including driveways, pavement, curbs, lawns, turf, and soil (including ruts, depressions, and compaction), landscaping, trees, shrubs, and plants on or beside the placement location or access route (including their branches and roots), irrigation, septic systems, and underground utilities — resulting from the ordinary weight and non-negligent operation of the Dumpster and Company's vehicle within the designated location and along the designated or normal access route. Company remains responsible, subject to Sections 3.13(b) and 10.1(b), for damage caused by the negligent operation of its vehicle or handling of the Dumpster, and for its gross negligence or willful misconduct anywhere.
The Dumpster — including its rails, rollers, and body, and water running off or out of it — and Company's vehicle may leave scuffs, scratches, rail or tire marks, rust or other stains, and minor surface indentations ("Cosmetic Marks") on the placement location and access route, including concrete, asphalt, pavers, and other paved or finished surfaces. Cosmetic Marks may be permanent. Cosmetic Marks do not include cracks, breaks, or structural damage. If Customer wishes to reduce that risk, Customer is responsible for providing and placing protective material, such as plywood boards, under the Dumpster's rails and rollers before delivery. Company's driver may position Customer-provided material at Customer's direction as a courtesy, without assuming responsibility for its adequacy. Company is not liable for Cosmetic Marks, whether or not protective material is used, except where caused by Company's gross negligence or willful misconduct. Company is also not liable for stains or damage caused by liquids, paint, oil, chemicals, or other material placed in or around the Dumpster by Customer or anyone at the Service Address. Delivery, loading, pickup, Dump and Return, Swap, and remediation work may cause loose material to fall to the ground at the placement location. Company cleans up material it causes to fall. Incidental debris of this kind is not damage to Customer's property under Section 10.1(b).
Customer is encouraged (but not obligated) to photograph the placement area before delivery. Company may photograph, video-record, or both, the placement area, access route, and Dumpster at delivery; any such records are part of the Basis Record and are evidence of the site's condition at delivery. Customer shall report any damage Customer believes Company caused to the Service Address or other property, by written notice under Section 1.21 with photographs, within three (3) Business Days after the service Customer believes caused it. A later report is not barred, but Company's photographs and video in the Basis Record are presumed to show the property's condition accurately, and Company is not responsible for any part of the damage that the delay caused or made worse.
3.2 Normal Access Routes Only. Company will enter property only through normal access routes (driveways, open gates, and similar). Company personnel will not force entry through locked gates, cut locks, climb fences, or bypass barriers of any kind. If access is blocked, Section 3.4 applies.
3.3 Driver Wait Time. When the driver arrives for a delivery, pickup, or other service and finds a condition within Customer's control that prevents the service — such as blocked or locked access, a vehicle or object in the way, a load above the top rim, with a rear door that will not close and latch, over the Type Maximum, or containing prohibited materials, or a placement location or access route declined under Section 3.13 — the driver attempts to contact Customer by call or text at the number of record and waits at least fifteen (15) minutes from that attempt for Customer to correct the condition (for example, by unlocking or clearing access, removing or leveling material, or approving another location under Section 3.13(d)). The driver may wait longer at the driver's discretion but is not required to. The driver may leave before the fifteen (15) minutes end only where staying would be unsafe (for example, a threat to the driver, a downed line, or another hazard at the site), and records the reason with photographs. The arrival, the contact attempt, and the departure, with their times, form part of the Basis Record. If the condition is not corrected within that period, the driver may depart, and Section 3.4 applies.
Requested Wait. If Customer, or an adult acting for Customer under Section 3.13(d), asks the driver to wait beyond the fifteen (15) minutes and the driver agrees, the additional waiting time is charged as Service Time at the Service Time Rate, from the end of the fifteen (15) minutes until the condition is corrected or the driver departs. If the condition is corrected during the requested wait, no Trip Charge applies to that attempt; if it is not, Section 3.4 also applies. The driver is not required to agree, and time the driver waits at the driver's own discretion is not charged.
3.4 Dry Run; Rescheduling After a Failed Attempt. If Company dispatches a driver and cannot complete delivery or pickup because of a condition within Customer's control — blocked or locked access, an unavailable site, a load not in lawful transport condition under Section 5.3(a), a load exceeding the Type Maximum, prohibited materials in the load, unsafe site conditions (including a placement area steeper than the slope limit in Section 5.1), a placement location or access route declined under Section 3.13 (to the extent provided in Section 3.13(e)), or Customer's absence where Company's written notice stated that Customer's presence was required to resolve a condition preventing the service — and the condition is not corrected within the wait period under Section 3.3, the Dry Run charge (the Trip Charge stated in the Booking Confirmation) applies to that attempt, subject to Section 2.3 for attempts outside the standard service window. Company may waive a Dry Run charge in its discretion, and Section 9.4 applies to any waiver. No charge applies where the attempt failed because of Company's own equipment, staffing, or scheduling error; those attempts are governed by Section 2.6.
(a) Notice and Customer Confirmation. Company will notify Customer of a failed attempt by email, and by text where Customer has opted in, stating what prevented the service and including any photographs taken at the site. The notice includes a link by which Customer confirms the condition has been corrected. Company is not required to attempt the service again until Customer gives that confirmation. A refusal for weight is supported by photographs and a written statement of the basis for Company's determination (for example, the materials and volume observed, or the vehicle's inability to lift or safely secure the load).
(b) Rescheduling. After Customer confirms, Company will complete the service on the next available Business Day, on another date Company offers, or — at Company's sole discretion — by returning the same day outside the standard service window at no additional charge. A same-day return outside the standard service window is offered at Company's option and creates no obligation to offer it on any other occasion. Company will state the approximate arrival time in advance and will comply with applicable local ordinances. When Company sets the new service date, it confirms that date to Customer in writing (by email, and by text where Customer has opted in); that is Company's confirmation under this subsection.
(c) Rental Period Unchanged. Where the failed attempt was caused by a condition within Customer's control, the scheduled pickup date does not change. The Rental Period is the scheduled window and not a guaranteed number of days. Customer may extend the Rental Period under Section 2.4 at the Extension Rate.
(d) Failed Delivery; Customer's Election. Where delivery could not be completed, Customer may instead cancel the booking through the link in the notice or by written notice under Section 1.21. Company will refund all amounts paid, less (i) each Trip Charge owed under this Agreement for a failed delivery attempt (a Trip Charge already charged under Section 9.3 is retained and not deducted again), and (ii) any rescheduling charge Customer paid under Section 3.13(i) (which is instead refunded in the cases Section 3.13(i) provides); and any prepaid disposal estimate is refunded in full.
(e) Holdover While the Container Remains On Site. Where a pickup could not be completed for a condition within Customer's control, Holdover under Section 7.1(2) accrues for each day after the scheduled pickup date and continues until the container is collected, subject to the thirty (30)-day limit in Section 7.1(2). The container remains at the Service Address past its scheduled pickup because of a condition within Customer's control, and Holdover compensates Company for the container being unavailable during that period.
Holdover does not accrue where: (i) the failed attempt was caused by Company under Section 2.6; or (ii) Company completes the pickup on its ordinary route on the same day as the failed attempt.
Holdover stops accruing on the day after Customer confirms under Section 3.4(a) that the condition has been corrected, provided it is corrected at the next attempt; if it is not, Holdover resumes as if the confirmation had not been given.
(f) Further Failed Attempts. Each subsequent attempt that cannot be completed for a condition within Customer's control is a separate Dry Run and a separate Trip Charge applies. Customer is told this before giving the confirmation under Section 3.4(a).
3.5 Change of Service Address Before Delivery.
(a) Request. Customer may request a new delivery address by written notice before delivery. The new address is subject to Section 1.19, and Customer's representations under Sections 5.1 and 6.2, and Section 3.13, apply to it. Company may approve or decline any address-change request. If Company declines a timely request, no charge applies and delivery proceeds to the original address.
(b) Timely Changes. For a request received by 2:00 p.m. on the last Business Day before the scheduled delivery date, Company will recalculate the booking's estimate for the new address under Section 8 in the same manner as a new booking, at the Standard Rates recorded at booking (Section 1.23), and transmit it with a single-use approval link. If the new Estimated Full-Load Total is lower than the amount paid, Company refunds the difference; if higher, Customer pays the difference through the link. The new estimate supersedes the original estimate; both are retained in the Basis Record.
(c) Late Changes. A request received after that deadline, including after the driver has departed, is a late change. If Company accepts it, the new estimate consists of the recalculation under subsection (b), plus a Route Disruption Charge: the additional miles and drive time the change adds to Company's scheduled route for that day — measured from the original address (or from the truck's location, if the driver has departed) to the new address and on to the next scheduled stop, compared with the scheduled route — at Standard Rates.
(d) Approval; Withdrawal. Delivery to a new address proceeds only after Customer approves the new estimate and completes payment of any difference. Until approval, Customer may withdraw the request, and delivery to the original address proceeds on the scheduled date if Company's schedule permits, at no charge.
(e) Declined or Unapproved Late Changes. If Company declines a late change, and Customer does not accept delivery to the original address, the booking is cancelled at Customer's request and Company refunds all amounts paid except the Trip Charge, any Trip Charge owed for an earlier failed attempt under Section 3.4 or 3.13, and any rescheduling charge under Section 3.13(i) (except where that Section provides for its refund). If Company approves a late change and Customer does not approve the new estimate or accept delivery to the original address, the booking is cancelled at Customer's request, and Company refunds all amounts paid except the Trip Charge, any Trip Charge owed for an earlier failed attempt under Section 3.4 or 3.13, and any rescheduling charge under Section 3.13(i) (except where that Section provides for its refund).
(f) No Response. If Customer neither approves nor withdraws by the end of the scheduled delivery date, Company will attempt to contact Customer by phone, text, and email. If Customer does not respond, the booking is treated as cancelled at Customer's request — as a timely cancellation under Section 9.1 (Company retaining only the processing fee, any Trip Charge owed for an earlier failed attempt under Section 3.4 or 3.13, and any rescheduling charge under Section 3.13(i) except where that Section provides for its refund) for a timely change, and under subsection (e) for a late change. After a failed delivery attempt or a notice that Company will not attempt delivery, the second paragraph of Section 9.1 applies to a cancellation under subsection (e) or this subsection.
3.6 Dump and Return.
(a) Service. At Customer's request during an active Rental Period, and subject to scheduling availability, Company picks up the Dumpster, transports the load to a disposal facility, and returns the emptied Dumpster to the Service Address. A Dump and Return is an additional service on the existing rental, for Standard and Monthly Rentals alike. It does not create a new booking, and, except as the second paragraph of subsection (e) and Section 3.13(g) provide, the Rental Period and scheduled pickup date are unchanged.
(b) Estimate. Company prices a Dump and Return under Section 8 at the Standard Rates recorded at booking (Section 1.23). The estimate consists of the service trip (Yard, Service Address, disposal facility, Service Address, Yard) and the estimated disposal cost at the Type Maximum for the selected waste types and any material Customer reports or Company observes, plus any declared Specialty Items.
(c) Approval and Payment. Company transmits the estimate with a single-use approval link. The service is scheduled only after Customer approves it and payment is completed within the window in subsection (i). Otherwise, the request is withdrawn, the slot is released, and no charge applies.
(d) Scheduling. A Dump and Return is scheduled only if it fits within Company's route time limits for the day. If it does not, Company proposes the next available day with a revised estimate.
(e) Return Timing. Except as Section 3.13(g) provides, the Dumpster is returned to the Service Address by the end of the calendar day on which it is collected. Company may complete the return outside the standard service window where the day's routing requires it, and Section 2.3's standard service window does not limit the return, but its Dry Run notice requirement applies. Customer should expect to be without the Dumpster for the working part of that day and should plan accordingly; Company does not guarantee a return by any particular hour, and no charge or credit arises from the length of that period.
Where the return cannot be completed that day for any reason other than a condition within Customer's control — including a facility closure or an event under Section 10.4 — Company returns the Dumpster on the next Business Day, and the Rental Period is extended by one day at no charge for each day the Dumpster is absent. A failed return attempt is governed by Sections 3.4 and 3.13.
(f) Empty Dumpster. If the Dumpster is empty at pickup, no disposal occurs, and the disposal component is credited in full.
(g) Reconciliation. Each Dump and Return is a separate disposal event, reconciled under Section 8.3(e).
(h) Load Condition. Section 5.3 applies at the Dump and Return pickup, and Sections 3.4 and 3.13 apply to a failed attempt.
(i) Approval Window. The deadline to approve and pay runs from Company's transmission of the estimate: (1) if the service is scheduled more than one Business Day after transmission, until 2:00 p.m. on the first Business Day after transmission; (2) if the service is scheduled for the next Business Day, until 2:00 p.m. on the day of transmission; and (3) if the service is scheduled for the day of transmission, until the deadline stated in the estimate, and in any event no later than dispatch of the service. If the applicable deadline has passed when the estimate is transmitted, Company will reschedule to the next available day and recalculate the deadline. A pending, unpaid request does not hold capacity against confirmed, paid bookings.
3.7 Unauthorized Relocation. Customer shall not relocate the Dumpster from the placement location. If the Dumpster is relocated without Company's prior written consent, Customer shall pay the recovery trip at Standard Rates and any documented damage (for Company's vehicle or trailer, only as Section 3.13(j) provides). Repeated relocation, or relocation creating a safety hazard, is cause for termination under Section 9.5.
3.8 Abandoned Containers. If the Dumpster remains at the Service Address after the scheduled pickup date, Company will offer Customer, by written notice under Section 1.21, at least three (3) available pickup dates, each on a different Business Day after the scheduled pickup date. Company's final notice will state that the Dumpster will be deemed abandoned and its contents disposed of if it cannot be collected on the last date offered. Company need not dispatch on an offered date unless Customer confirms, by 2:00 p.m. on the preceding Business Day, that the Dumpster will be accessible and the load compliant; no Trip Charge applies to an offered date on which Company did not dispatch. An offered date affected by Section 10.4 or by Company fault does not count. If the Dumpster is not collected on any offered date because Customer did not give that confirmation or for another reason within Customer's control, it is deemed abandoned on the day after the last offered date. Customer remains liable for Holdover charges accrued under Section 7.1(2) through the date of abandonment, the recovery trip at Standard Rates under Section 7.2 and any third-party recovery costs at actual cost under Section 7.3, and the disposal cost of any contents at actual cost. Company's recovery of an abandoned Dumpster from the Service Address is authorized by Customer's placement of the Dumpster there under this Agreement, provided Company obtains access only through normal access routes, without breach of the peace, does not proceed over the objection of a person present at the Service Address, and complies with applicable law. If access through normal access routes is not available, Company may recover the Dumpster by any lawful process, including an action for replevin, and Customer shall pay Company's recovery costs, including court costs and, where permitted by law, reasonable attorney's fees, under Section 7.3. Charges under this Section are prices for services performed and capacity committed and are not penalties.
Contents Documentation and Disposition. Upon recovery, Company may photograph or video-record the load, and the scale ticket and facility receipt for its disposal are kept in the Basis Record. Because Customer's booking of disposal services constitutes Customer's instruction that the contents be destroyed, and abandonment confirms that instruction, no storage or redemption period applies. Company may dispose of the contents promptly at Customer's actual cost, in a commercially reasonable manner, at a lawfully permitted facility. Title to Accepted Contents passes to Company under Section 4.5(e) when Company begins loading the Dumpster for removal. Where visible contents include an item that cannot lawfully be disposed of at a standard facility, or that appears to be evidence or otherwise legally significant, Company will retain it, document it, and seek disposition instructions before disposal, at Customer's actual cost.
3.9 Street and Third-Party Placement. If Customer indicates at booking, or directs at delivery, placement on a public street, sidewalk, alley, or right-of-way, or on property Customer does not own or control, Customer is solely responsible for obtaining all required permits and landowner consent; for compliance with all ordinances, including any marking, lighting, or placement requirements; and for all fines, citations, and third-party claims arising from the placement, and shall indemnify Company under Section 10.3. Customer certifies at booking that any permit required for street or right-of-way placement has been obtained. Company does not verify permits, and delivery is not a representation that a placement is lawful. Company may decline a placement it reasonably believes is unsafe or unlawful, as provided in Section 3.13. Where the declined placement is one Customer selected under this Section, Customer may also approve, in the manner and within the time provided in Section 3.13(d), another location on the public street, alley, or parking lane adjacent to the Service Address, which is then a placement Customer selects under this Section, and Customer's approval of it certifies that any permit required for it has been obtained.
3.10 Dumpster Swap.
(a) Service. At Customer's request during an active Rental Period, and subject to availability, Company delivers an empty replacement Dumpster, removes the loaded Dumpster on the same trip, transports the load to a disposal facility, and returns to the Yard. A Swap is an additional service on the existing rental. It does not create a new booking, and, except as Section 3.13(g) provides, the Rental Period and scheduled pickup date are unchanged.
(b) Estimate. The estimate consists of the service trip (Yard with the replacement Dumpster, Service Address, disposal facility, Yard) at the Standard Rates recorded at booking (Section 1.23), plus the estimated disposal cost at the Type Maximum for the selected waste types and any material Customer reports or Company observes, and any declared Specialty Items. It is approved and paid before dispatch under Section 3.6(c) and (i).
(c) Replacement Dumpster. From its delivery, the replacement is the "Dumpster" under this Agreement. Section 6.1 inspection and reporting applies to it, with the reporting deadline running from the Swap date. Customer's responsibility for the removed Dumpster ends at removal, except for damage or conditions existing at removal.
(d) Other Terms. Sections 3.6(d) and (f)–(h) apply.
3.11 Requested Relocation. During the Rental Period, Customer may request by written notice that Company move the Dumpster to a new location at the Service Address or to another address within the Service Area, which Company may accept or decline. Company prices a relocation as a modified pickup trip (Yard, current location, new location, Yard) at Standard Rates, plus any recalculation of the remaining pickup and disposal travel components from the new location. Company transmits the estimate with a single-use approval link, and the relocation proceeds only after approval and payment. Relocation requires the load to be in lawful transport condition under Section 5.3(a). Customer's designations and representations under Sections 3.1, 5.1, and 6.2, and Section 3.13, apply to the new location. Except as Section 3.13(g) provides, the Rental Period and scheduled pickup date are unchanged. Where the new location is at another address, that address becomes the Service Address when the Dumpster is placed there, and, for Section 3.13, the property at that address is also treated as the Service Address property for that relocation from the time Company's vehicle sets out to place the Dumpster there.
3.12 Business Hours; Receipt of Communications. Company's hours for receiving Customer requests and notices under this Agreement — including extension requests (Section 2.4), early-pickup requests (Section 2.5), address-change and relocation requests (Sections 3.5, 3.11), Dump and Return and Swap requests (Sections 3.6, 3.10), cancellation notices (Section 9.1), and reports of pre-existing damage (Section 6.1, which carries its own deadline) — are Business Hours. Company does not monitor communications outside Business Hours. A communication sent outside Business Hours is deemed received by Company when Business Hours next begin — for a communication sent on a Business Day before 8:00 a.m., at 8:00 a.m. that day, and otherwise at the start of the next Business Day, and Company's obligations to respond, schedule, transmit estimates, or otherwise act run from deemed receipt; no communication sent outside Business Hours is eligible for same-day or next-Business-Day action dependent on it. Customer's deadlines are not extended by this Section: a communication from Customer is timely as to Customer if it is sent before the applicable deadline expires, but Customer's timely sending does not obligate Company to act outside Business Hours. Nothing in this Section limits Customer's rights under Section 10.4. For fire or any immediate danger, call 911.
3.13 Placement Surface, Backup Location, and Ground Conditions.
The "Placement, wet ground, and stuck trucks" summary in the Important Terms notice at the start of this Agreement is part of this Section for notice and acknowledgment; where it is less complete than, or differs from, subsections (a) through (k), those subsections control.
(a) Hard Surface. "Hard Surface" means a driveway or parking area paved with concrete, asphalt, or pavers, or surfaced with compacted gravel. Lawn, turf, soil, mulch, and loose gravel are not Hard Surfaces. A paved public street, alley, or parking lane is a Hard Surface only for a placement Customer selects under Section 3.9. At booking, and with any request under Section 3.5 or 3.11 that changes the Service Address or placement location, Customer states the surface at the selected placement location and whether the Service Address property has any Hard Surface. Company does not verify the surfaces or ground conditions Customer states. If the selected location is not in fact a Hard Surface, this Section applies as though Customer had so stated. In this Agreement, "ground conditions" means the softness, wetness, saturation, or instability of the ground or surface, and snow, ice, or slush on it, including from rain, thaw, snow, or ice, at a placement location on the Service Address property or at an access route to it on that property, or, for a placement Customer selects under Section 3.9, at that placement location and, where it is on private property, at an access route to it on that property (on a public street, alley, or right-of-way, only the area where the Dumpster is to sit and the area beside it the vehicle must use to set it there counts, and snow, ice, slush, or water elsewhere on a public street, alley, or right-of-way is a road condition under Sections 2.6 and 10.4, not a ground condition), whatever its cause, including ruts or disturbed ground left by the ordinary, non-negligent weight and operation of Company's vehicle or by a recovery without negligence, but not a condition caused by the negligence of Company or its recovery provider; it does not include slope, overhead clearance, an obstacle, locked or blocked access, or the condition of the load.
(b) Backup Location; Customer Locations and Routes. Where the selected placement location is not a Hard Surface, Customer must mark a backup location on a Hard Surface on the Service Address property (the "Backup Location") at booking, and with any request under Section 3.5 or 3.11 that changes the Service Address or placement location, unless Customer states that the property has none. At the same times, Customer shall mark each area or item that must not be used or crossed — including septic systems, sprinkler or utility lines, thin or decorative paving, and areas that must stay clear for vehicles or garage doors (each, a "Marked No-Go Area") — and may mark the access route to any location. Customer may add a Marked No-Go Area at any time through the link or by written notice under Section 1.21 (an area added after Company's vehicle has set out for a service is a Marked No-Go Area for that service only if the driver acknowledges it before the vehicle reaches it, and for every later service in any case), and shall do so before the next scheduled service for any septic system, cistern, well, trench, excavation, fill, or other buried or soft-ground hazard on the Service Address property that is created, installed, or uncovered, or that Customer learns of, after Customer last marked areas; a failure to do so is a failure to mark under subsection (b) for purposes of subsection (j). A Marked No-Go Area ceases to be one, for a location Customer approves under subsection (d) or requests under subsection (k) and its Customer Route, only where Customer expressly releases that area in the approval or request, given through the link, by written notice under Section 1.21, or in a live telephone conversation between Company and Customer, on a call to (918) 935-1054 or a call Company places to Customer's number of record (a statement by another person at the Service Address does not release it), and Company's confirmation of the release, or the driver's record of it, forms part of the Basis Record; otherwise the driver does not use that location or route. A location Customer marks as a backup that is not a Hard Surface is not a Backup Location, and Customer is then treated as having marked none, but that location remains a Customer Location. Whether a location is a Hard Surface is determined from its surface as recorded in the Basis Record before the vehicle entered it (for gravel, whether it was compacted rather than loose); the vehicle's becoming stuck there, or the surface's giving way, does not by itself show that it was not a Hard Surface. Where Customer does not mark a Backup Location, Customer designates as the Backup Location the Hard Surface on the Service Address property nearest the selected location that the driver determines to be suitable and that is outside every Marked No-Go Area (a "Driver-Selected Backup Location"). The driver does not select a location that blocks a garage door or the only vehicle exit from the property where another suitable Hard Surface is available, and does not place the Dumpster at a Driver-Selected Backup Location that blocks the only vehicle exit from the property unless Customer approves it under subsection (d). Because Customer may mark Customer's own Backup Location, Customer accepts the driver's selection of a Driver-Selected Backup Location and of a reasonable route to it that avoids every Marked No-Go Area, and Company is not liable for property damage, loss of use, fines, or other property-related loss arising from that selection, including a claim that the selection was negligent, except as subsection (k) provides for a location that blocks a garage door or the only vehicle exit. This does not cover personal injury, damage caused by negligent driving or handling of Company's vehicle, trailer, or the Dumpster, gross negligence, or willful misconduct. A Backup Location is never on a public street, sidewalk, alley, or right-of-way, or off the Service Address property; where Customer does not own the Service Address property, Customer's representation under Section 6.2 of the owner's authorization extends to the Backup Location, any Driver-Selected Backup Location, and every Customer Route.
"Customer Location" means the placement location Customer selected at booking or under Section 3.5 or 3.11, a location Customer approved under subsection (d) or requested under subsection (k), a location Customer marked as a backup location, whether or not it is a Hard Surface, and a location to which Customer, or a person Customer permits at the Service Address, moved the Dumpster without Company's prior written consent (Section 3.7); it does not include a Driver-Selected Backup Location, even where Customer approves it under subsection (d) or requests it under subsection (k). "Customer Route" means, for a Customer Location, the access route Customer marked to it or, if Customer marked none, a reasonable route the driver chooses from the point on the driveway (or the usual vehicle entrance) nearest the Customer Location that the vehicle can reasonably use, to the Customer Location, which may cross lawn, turf, or soil and which avoids every Marked No-Go Area. A route Customer marks does not include any part of it within a Marked No-Go Area; for that part, the driver uses a reasonable departure that avoids the area (which remains on the Customer Route) or declines the route under subsection (c). Every Customer Route also includes travel from the entrance to the Service Address property along its driveway to the start of that route, and any departure from that route reasonably needed to avoid an obstacle or a Marked No-Go Area or to maneuver the vehicle and trailer into position; for this purpose an obstacle is a vehicle, structure, tree, debris, or similar object, and standing water, soft ground, snow, ice, or other ground conditions on the route (including piled or drifted snow) are not an obstacle (the driver instead declines the route under subsection (c)). Travel to, at, or from a Driver-Selected Backup Location is never on a Customer Route, except that travel back along a Customer Route toward the driveway (or the usual vehicle entrance), whether from its Customer Location or from any point on that route the vehicle reached, until the vehicle reaches the driveway (or the usual vehicle entrance), remains travel from that Customer Location. Otherwise, travel is to a Driver-Selected Backup Location from the time the Basis Record shows the driver decided to use it. A Customer Route, and a reasonable route the driver uses to a Driver-Selected Backup Location that avoids every Marked No-Go Area, are designated and normal access routes for purposes of Sections 3.1, 3.2, 3.8, 5.1, and 6.2.
Map Marks Are Approximate; Physical Marks. A Marked No-Go Area drawn on the booking map shows only its general location; it is not a representation by Customer or Company of where any area or item actually is, and it is not notice to Company of an item's exact location or extent. Wherever this Agreement requires Company's driver, vehicle, or recovery provider to avoid, or stay outside, a Marked No-Go Area, Company locates the area by its Physical Marks where they are present and otherwise by its general location on the booking map, and the driver may decline under subsection (c) a location or route whose relation to a Marked No-Go Area the driver cannot reasonably determine. An area or item is "Physically Marked" for a service only where, before Company's vehicle arrives for that service, Customer, or anyone on Customer's behalf (including a utility locator), has marked its boundaries (for a pipe, line, or similar item, its path) on the ground at the Service Address with stakes, flags, or marking paint that are clearly visible from the driver's seat of Company's vehicle ("Physical Marks"); marks covered by snow, grass, or debris are not clearly visible. Marks that Company's vehicle, trailer, personnel, or recovery provider moves or knocks down during a service remain Physical Marks for the rest of that service and for every later service until Company notifies Customer, with a photograph, that they need to be replaced. To keep an area or item protected, Customer keeps its Physical Marks in place and visible from delivery until the Dumpster's final pickup, including for every Dump and Return, Swap, relocation, additional container, and other service. Company may photograph the Service Address on arrival for a service, before its vehicle leaves the street or driveway, showing Physical Marks or their absence; those photographs, and dated photographs of its marks that Customer sends through the link, form part of the Basis Record.
Below-Ground Items. Company is not liable — in contract, in tort (including for the negligence of Company, its driver, its subcontractors, or its recovery provider), or otherwise — for damage to a septic tank or system, lateral or field line, cistern, well, storm shelter, sprinkler or irrigation system, buried pipe, cable, or line, or other item in, under, or set into the ground at the Service Address (each, a "Below-Ground Item"), or to the ground or surface damaged with it, caused by the weight or operation of Company's vehicle, trailer, or the Dumpster, or of equipment recovering them under subsection (j), or of machinery or vehicles used for remediation under Section 5.3(c), at any location or on any route (including a Driver-Selected Backup Location and the route to it), unless that Below-Ground Item was, at the time of the service, both within a Marked No-Go Area and Physically Marked (or, for damage caused by a recovery that enters a Marked No-Go Area without Customer's consent under subsection (j), Physically Marked as that subsection provides). Customer assumes that risk and releases Company, its members, managers, employees, drivers, subcontractors, and recovery providers from those claims. For a Below-Ground Item that was both, Company is liable only to the extent the damage was caused by the negligence of Company or its recovery provider, subject to Section 10.1(b), except as subsection (j) provides for a recovery that enters a Marked No-Go Area without Customer's consent. This paragraph does not limit liability for gross negligence or willful misconduct or any other liability Section 10.2 preserves; and does not enlarge Company's liability for any area under Section 3.1. If a court holds the release in this paragraph unenforceable as to negligence, Company's liability for that damage is limited as Section 10.1(b) provides. Customer's indemnity under Section 10.3 includes claims by any owner, tenant, or occupant of the Service Address, or any other person, for damage to a Below-Ground Item at the Service Address that was not both within a Marked No-Go Area and Physically Marked at the time of the service, except to the extent caused by the negligence or willful misconduct of Company or its subcontractors.
Company is not liable for damage to any other area or item that Customer did not mark as a Marked No-Go Area, except to the extent caused by Company's negligence; this does not enlarge Company's liability for any area under Section 3.1. Marking an area does not by itself make Company liable for damage to it that Company did not negligently cause. Except as provided in subsection (j), a Backup Location used under this Section, including a Driver-Selected Backup Location, is a location designated by Customer for purposes of Sections 3.1, 5.1, 6.1, and 10.3, and Customer is responsible for any obstruction of vehicles, garage doors, or access that results from placement there, including any resulting fines, except to the extent caused by the negligence of Company other than in selecting a Driver-Selected Backup Location, which the paragraph above governs. Subsections (c) through (k) apply to every booking. Where the property has no Hard Surface, delivery, pickup, and other services depend on ground conditions.
(c) Driver's Determination. For any delivery, pickup, or other service, Company may decline to place the Dumpster at, or drive onto, a placement location, or an access route on the Service Address property or designated by Customer, that, in the driver's reasonable judgment at the time of service, is unsafe or unlawful; is too soft, wet, or unstable to support the delivery vehicle or a loaded Dumpster; presents a risk of the vehicle or trailer becoming stuck or of damage to Company's vehicle, trailer, or Dumpster; would likely cause damage beyond the risks Customer accepts under Section 3.1; or does not meet Section 5.1. Conditions are judged as they exist at the time of service, including after rain, and may differ from conditions at booking. The driver records the reason, and the condition relied on — such as standing water, mud, saturation, or a boot, screwdriver, or similar test and what it showed — with photographs, the time, and the location, which form part of the Basis Record. A request by Customer or anyone at the site to proceed does not override the driver's determination. If the Basis Record does not reasonably support the determination, no Dry Run or ground-condition charge applies to that attempt, and, where the attempt is a delivery or a placement under subsection (d), Customer's declining another location at that attempt is not declining a suitable location under subsection (f)(E) or (g)(A), and the dates Company offers keep the length of the Rental Period; and if Customer makes no choice by the deadline, the booking is not cancelled under clause (D) of subsection (f), Company instead delivers on the first offered date still available (or, if none, on its next available Business Day, confirmed to Customer in writing), and Customer may cancel under Section 3.4(d) at any time before that delivery; but where the lack of support is established only after the booking was cancelled under subsection (f) (including by Customer's choice), the cancellation stands, and Company refunds, within five (5) Business Days, the Trip Charge for that attempt and any rescheduling charge under subsection (i). If, before dispatch, Company decides not to attempt a service because it reasonably expects ground conditions to make unusable every location at which the Dumpster could be placed under subsection (d) or (k), including the Backup Location, or the access routes to them, Company records the decision and its basis (such as rainfall, a prior check, or Customer's report) in the Basis Record, notifies Customer, and does not dispatch the service vehicle for that service. A report by Customer, or a request under subsection (i), that ground conditions will prevent a service is not, by itself, information that every such location and route will be unusable; Company may dispatch to verify it, and the Dry Run charge then applies as subsection (e) provides if the service cannot be completed. Where Company decides not to attempt a delivery on the basis of Customer's report alone, with no rainfall record, prior check, photograph, or video supporting it, and Customer then cancels the booking on the notice of that decision or makes no choice, the cancellation is a cancellation at Customer's request under Section 9.1, measured from the originally scheduled delivery date, and a Trip Charge retained under that Section is not a Trip Charge for a failed attempt; Customer may instead accept dates Company offers under subsection (f). Company does not dispatch a service vehicle in order to charge a Trip Charge where the information it has before dispatch shows that ground conditions will make every such location and route unusable; whether Company had that information is judged by the Basis Record as it stood before dispatch, no Dry Run charge applies to an attempt dispatched contrary to this sentence, and the attempt is otherwise treated as a decision before dispatch under this subsection made on the scheduled date. Subsections (f), (g), and (h) then apply as though the service had been attempted on its scheduled date and had not been completed only because of ground conditions, with no location suitable (for a Dump and Return, Swap, or relocation whose pickup has not been made, as a pickup that could not be started under subsection (g)(B), whichever location the decision concerns; where the Dumpster has already been removed, as a return or placement not completed under subsection (g)(A) or (C)), except that no Trip Charge applies for that decision; on a cancellation of the booking under subsection (f) on the notice of that decision (including where Customer makes no choice, and a cancellation by Company under clause (F) of subsection (f) on that notice), Company refunds all amounts paid, including any rescheduling charge under subsection (i), except any Trip Charge owed for a failed attempt before that decision; and on a withdrawal under subsection (g)(B) on that notice, Company refunds the amount paid for that service less any Trip Charge owed for a failed attempt at that service before that decision. Such a decision, where the Basis Record reasonably supports it, is not a Company schedule change under Section 2.6. Where the Basis Record does not reasonably support it, the decision is instead a Company schedule change under Section 2.6, subsections (f), (g), and (h) do not apply to it, and Company refunds any amount charged or retained on the basis of that decision; a Trip Charge owed for a failed attempt before that decision is retained as subsection (e) and Section 2.6 provide.
(c-1) Ground-Condition Warnings and Reminders. Company may send Customer a written warning, by email and by text where Customer has opted in, that ground conditions are likely to make a placement location that is not a Hard Surface, or its access route, unusable for a scheduled delivery, pickup, or other service. Each reminder Company sends on the last Business Day before a scheduled delivery or pickup also asks Customer to check the placement location and access route. The warning and the reminder state the Trip Charge, that each attempt that cannot be completed is charged under subsection (e), and Customer's responsibility under subsection (j) for towing, recovery, and repair, and provide a link through which Customer may, by the deadline stated: for a delivery, reschedule under subsection (i) (for a warning, Company accepts that request until the deadline the warning states, even if later than the deadline in subsection (i)), use the Backup Location, or cancel under Section 9.1; for a pickup, choose a pickup day under subsection (h); or proceed as scheduled. If Customer does not choose by the deadline stated, the service proceeds as scheduled. A service that proceeds after a warning or reminder is not dispatched in order to charge a Trip Charge; Customer accepts the risks the warning or reminder states, and the driver's determination under subsection (c) still controls. A warning or reminder is not a decision under subsection (c) not to attempt a service.
(d) Contact and Wait. When the selected location, or the access route to it, is declined under subsection (c) at delivery, at the placement of a Dumpster in a Swap, at the return of a Dump and Return, or at the new location of a relocation under Section 3.11, Company attempts to contact Customer in person where Customer is at the site, by call, by text where Customer has opted in, and by email, stating the reason, with a link by which Customer may approve another location on the Service Address property. Customer may respond within fifteen (15) minutes of the first contact attempt under this subsection, by any of those means. Where a means is unavailable at the site (for example, for lack of a mobile signal), Company sends that message as soon as it becomes available, and the delay does not affect the attempt or the placement where Company used the other means; where no means is available at the site, the driver waits fifteen (15) minutes, Company sends the messages as soon as a means becomes available, and the attempt and any placement at the Backup Location stand. Notwithstanding Sections 1.21 and 3.12, Customer may respond through the link Company provides, by written notice under Section 1.21, in person to the driver, or by live telephone conversation with Company, on a call to (918) 935-1054 or a call Company places to Customer's number of record (not voicemail); an approval, or a refusal of placement at the Backup Location or another location, given in person by an adult at the Service Address who states that he or she is acting for Customer, and whose name the driver records, is Customer's; an approval or refusal given in person or by telephone is effective when given, Company confirms it to Customer in writing, and the driver's record of it forms part of the Basis Record. A location Customer approves under this subsection is a location designated by Customer for all purposes of this Agreement, including Sections 3.1, 5.1, 6.1, and 10.3 (other than subsection (j), as to a Driver-Selected Backup Location), subject to the driver's determination under subsection (c). If Customer does not respond, or approves no location the driver determines to be suitable, Company places the Dumpster at the Backup Location and promptly sends Customer photographs of the placement. Where no Backup Location is suitable, or Customer declines placement at the Backup Location, the driver may depart, and the attempt is a failed attempt under Section 3.4.
(e) Trip Charge. A placement location (including one Customer selects under Section 3.9), or an access route on the Service Address property, declined under this Section at the time of service, including because of rain or other weather, is treated as a condition within Customer's control for purposes of Sections 2.6 and 10.4 and the Dry Run charge in Section 3.4, unless Company's operations are suspended for the day under Section 10.4. Where the decline would not have been required but for a condition caused by the negligence of Company or its recovery provider, the decline is instead a Company schedule change under Section 2.6; no Dry Run, delay-day, Holdover, or rescheduling charge applies to it, Customer's declining another location at that attempt is not declining a suitable location under subsection (f)(E) or (g)(A), and the dates Company offers keep the length of the Rental Period. Where a pickup cannot be completed only because of ground conditions, it is not such a condition for Holdover under Sections 3.4(e) and 7.1(2), which subsection (h) governs instead, except at a location to which the Dumpster was relocated in breach of Section 3.7, where ground conditions are a condition within Customer's control for purposes of Sections 3.4(e), 3.8, and 7.1(2). The Dry Run charge applies, subject to Section 2.3, when the service cannot be completed, and is charged once — under Section 9.3 or by deduction from a refund, never both. No Dry Run charge applies where placement is completed at the Backup Location or at another location Customer approves, where subsection (c), (f)(D), (g), or (h) says so. A Trip Charge owed for a failed attempt is not refunded on any later cancellation, including under Section 2.6, 3.5, 8.8, 9.1, or 10.4; it is refunded only if Company cancels under Section 9.6, or if it was not owed under this Agreement, including under Section 2.3, 3.4, or 10.4, or subsection (c).
(f) Failed Delivery; Customer's Choice. Notwithstanding Sections 3.4(b) and (c), and Section 3.4(f) except as stated in clause (F), where a delivery is not completed under subsection (d):
(A) Notice and deadline. Company sends the failed-attempt notice under Section 3.4, stating the reason, the dates Company offers (or that none are available), the deadline in this clause, the result of making no choice, and that a later attempt at which Customer declines a suitable location, or that fails for another condition within Customer's control other than ground conditions, is a separate Dry Run. The dates Company offers are those it then shows as available for the Service Address under Section 2.7(a) within the ten (10) Business Days following the Business Day after the notice is sent (or, for a decision under subsection (c), after the scheduled date of the service), subject to clause (E); Company is not required to offer the next Business Day, and does not withhold an available date in order to retain a Trip Charge. Customer may choose either to cancel under Section 3.4(d) or to accept dates Company offers, by 11:59 p.m. Central on the day the notice is sent or, if later, four (4) hours after it is sent, or, for a notice of a decision under subsection (c) sent before the scheduled date of the service, 11:59 p.m. Central on that scheduled date, if later. Dates offered remain available until the deadline.
(B) How to choose. Notwithstanding Sections 1.21, 3.4(d), and 3.12, Customer may choose through the link in the notice, by written notice under Section 1.21, in person to the driver, or by live telephone conversation with Company, on a call to (918) 935-1054 or a call Company places to Customer's number of record (not voicemail). A choice made in person by an adult at the Service Address who states that he or she is acting for Customer, and whose name the driver records, is Customer's. A choice made in person or by telephone is effective when made, Company confirms it in writing, and the driver's record of it forms part of the Basis Record. Acceptance of offered dates satisfies Section 3.4(a) and confirms the dates.
(C) Undelivered notice. Notwithstanding Part I, Section 1.6 of the Electronic Consent & Payment Authorization, if, before the deadline or within twenty-four (24) hours after it, Company receives reports that the notice could not be delivered to every channel to which it was sent, any cancellation under clause (D) is withdrawn, and Company resends the notice by email or text to a channel for which no delivery failure has been reported, or reaches Customer by live telephone call; clause (A) then applies as though the notice were first sent at that resend or call, and the resent notice states the dates Company then offers. A notice given by telephone is confirmed in writing, stating what clause (A) requires, by email and by text (an individual text under Part I, Section 1.1 of that Authorization where Customer has not opted in, but no text where Customer has opted out) to each channel for which no delivery failure has been reported, or by mail where Communications are sent by mail under Part I, Section 1.5 of that Authorization, and the driver's record of the call forms part of the Basis Record. Where Communications are sent to Customer by mail under Part I, Section 1.5 of that Authorization, Company also attempts to reach Customer by live telephone call, and the deadline is the later of the clause (A) deadline measured from that call and 11:59 p.m. Central on the day the mailed notice is received under that Section. While the notice remains undelivered, Company attempts a live telephone call on each Business Day. If the notice is not delivered by any of those means by 11:59 p.m. Central on the later of the third Business Day after the failed attempt and the day a mailed notice is received under that Section, the booking is cancelled under Section 3.4(d) at that time.
(D) No choice. If Customer makes no choice by the deadline, the booking is cancelled under Section 3.4(d), and Company refunds the amounts that Section provides, no earlier than twenty-four (24) hours after the deadline and within five (5) Business Days after it. No cancellation occurs under this clause unless the notice stated what clause (A) requires; otherwise Company sends a corrected notice, and clause (A) runs from it. A delay in sending that notice extends the deadline under clause (A) but does not affect any charge. On any other cancellation under this subsection, Company refunds the amounts Section 3.4(d) provides within five (5) Business Days after the cancellation.
(E) Dates offered. Where no Backup Location or other location was suitable because of ground conditions or another condition not within Customer's control, the dates Company offers keep the length of the Rental Period, adjusted to an available Business Day; dates accepted under this clause are not a change at Customer's request under Section 2.7(c), and promotional days count toward that length. Where Customer declined placement at a suitable Backup Location or another location the driver found suitable, Company offers only delivery dates before the scheduled pickup date, the scheduled pickup date does not change, and if no such date is available, Customer's choice is to cancel. Dates accepted under this clause, in every case, are not a change of dates at Customer's request under Section 2.7(c). Notwithstanding Section 1.11, a Monthly Rental term begins on the actual delivery date, except where Customer declined placement at a suitable location or no location was suitable because of a condition within Customer's control other than ground conditions; in those cases it begins on the scheduled delivery date, and the scheduled pickup date does not change. In this clause, Customer declined a suitable location if Customer did so at that attempt or at any earlier attempt at the same service, but Customer's refusal of a Driver-Selected Backup Location that would block a garage door or the only vehicle exit from the property is not declining a suitable location; in that case the dates Company offers keep the length of the Rental Period, adjusted to an available Business Day, as for a delivery at which no location was suitable. Where no location was suitable because of a condition within Customer's control other than ground conditions (such as slope, overhead clearance, or blocked access), the scheduled pickup date does not change, as Section 3.4(c) provides, Company offers only delivery dates before the scheduled pickup date, and if no such date is available, Customer's choice is to cancel.
(F) Later attempts. Each dispatched attempt that cannot be completed is charged under subsection (e), including a later attempt at the same service (the same delivery, Dump and Return return, Swap placement, or relocation placement) that fails only because of ground conditions; a decision before dispatch under subsection (c) is not an attempt; and if a second or later delivery attempt fails only because of ground conditions, Company may cancel the booking under Section 3.4(d). Section 3.4(f) otherwise applies, including where Customer again declines a suitable location. A cancellation of a rescheduled delivery is governed by Section 9.1, measured from the rescheduled delivery date; where Customer accepts a date after the Section 9.1 deadline for it, or less than four (4) hours before that deadline, a cancellation sent within four (4) hours after the acceptance is a timely cancellation under Section 9.1.
(g) Failed Dump and Return, Swap, or Relocation. Notwithstanding Sections 3.4(b) and (c) (and Section 3.4(f), except as clause (F) of subsection (f) provides), 8.1(c), and 8.6, and the second paragraph of Section 3.6(e) (except its extension, as stated in this subsection):
(A) Return or replacement not placed. Where the return of a Dumpster in a Dump and Return, or the placement of a replacement Dumpster in a Swap after the loaded Dumpster was removed, is not completed under subsection (d), Company sends the notice, and Customer chooses, as provided in clauses (A) through (C) of subsection (f), except that Customer's choice is to accept a return date Company offers or to end the Rental Period, and the booking is never cancelled under Section 3.4(d) by this subsection. If no notice stating what clause (A) of subsection (f) requires is sent by 11:59 p.m. Central on the third Business Day after the failed attempt, Company returns the Dumpster on its next available Business Day on which conditions permit. Where no location was suitable because of ground conditions or another condition not within Customer's control, Company offers any available date (the ten-Business-Day limit in clause (A) of subsection (f) does not apply), and the scheduled pickup date is extended under Section 3.6(e) by one day for each day the Dumpster is absent, moved to the next Business Day where needed; where Customer declined a suitable location, Company offers only dates before the scheduled pickup date, and Section 3.6(e)'s extension does not apply; where no location was suitable because of another condition within Customer's control, Company offers any available date and Section 3.6(e)'s extension does not apply. If Customer makes no choice by the deadline, or clause (C) or (D) of subsection (f) would otherwise cancel the booking, Company returns the Dumpster on the first offered date still available after the deadline or, if none, on its next available Business Day; but where Customer declined a suitable location and no date before the scheduled pickup date is available, the Rental Period ends. Clause (F) of subsection (f) applies, except its right to cancel; if a second or later return or replacement placement fails only because of ground conditions, Company may end the Rental Period. If the Rental Period ends under this clause, the Dumpster is not returned, that pickup is the final pickup, the booking's prepaid final pickup line (or, where the estimate shows no such line, the pickup trip component of the Estimated Full-Load Total) and its disposal component are credited in the final settlement under Section 8.3(c), the service's disposal is reconciled under Section 8.3, and each Trip Charge owed for a failed return or replacement placement is retained. In this clause, Customer declined a suitable location if Customer did so at that attempt or at any earlier attempt at the same service, but Customer's refusal of a Driver-Selected Backup Location that would block a garage door or the only vehicle exit from the property is not declining a suitable location.
(B) Pickup for a Swap, Dump and Return, or relocation not completed. Where a Swap, the pickup for a Dump and Return, or the pickup of the Dumpster for a relocation under Section 3.11 cannot be started or completed under this Section, Company sends notice as provided in clauses (A) through (C) of subsection (f); Customer may accept a new date Company offers or withdraw the request; the request is withdrawn if Customer makes no choice by the clause (A) deadline or the notice is not delivered within the clause (C) period; and on withdrawal Company refunds the amount paid for that service less any Trip Charge owed for it (the amount retained never exceeding the amount paid for that service), within five (5) Business Days after the withdrawal. Clause (F) of subsection (f) applies, except its right to cancel. Company does not leave a replacement Dumpster at the Service Address unless the loaded Dumpster is removed on the same visit; where the loaded Dumpster cannot be removed, Company takes the replacement Dumpster away on that visit, and the Swap is a pickup not completed under this clause.
(C) Relocation not placed. Where a relocation's placement at the new location is not completed under subsection (d), Company returns the Dumpster to its prior location (or that location's Backup Location), the prior location remains the placement location and its address remains the Service Address, and Company refunds the amount, if any, by which the relocation charge exceeds any Trip Charge owed for the attempt (the amount retained never exceeding the relocation charge), within five (5) Business Days after the Dumpster is returned to its prior location or taken to the Yard. If the prior location, its Backup Location, and the access routes to them are then also declined under subsection (c), Company takes the Dumpster to the Yard, and clause (A) applies as though the return in a Dump and Return had not been completed, with the prior location as the selected location and with the Trip Charge owed for the relocation attempt as the only Trip Charge for that trip (it is the Trip Charge for the failed return under clause (A), and no second one applies), except that, if the Rental Period ends, that trip is the final pickup: the booking's prepaid final pickup line (or, where the estimate shows no such line, the pickup trip component of the Estimated Full-Load Total) is not credited and covers that trip and the haul of the load from the Yard to the disposal facility, the amount retained for the relocation attempt is credited in the final settlement under Section 8.3(c) (unless the relocation attempt failed because Customer declined a suitable location or because of a condition within Customer's control other than ground conditions), and the load's disposal is reconciled under Section 8.3 against the booking's disposal component.
(h) Pickup Delayed by Ground Conditions. Notwithstanding Sections 3.4(a), (e), and (f), 3.8, and 7.1(2), where a pickup (other than one under a Dump and Return, Swap, or relocation under Section 3.11, which subsection (g) governs) cannot be completed only because ground conditions at the placement location or access route prevent safe access, the Rental Period still ends on the scheduled pickup date, Section 3.8 does not apply, and no Holdover accrues while that condition continues, except as provided below for added material or watering. Company completes the pickup on a Business Day of its choosing on which, in the driver's reasonable judgment recorded under subsection (c), conditions permit, subject to availability, and Company is not required to visit the Service Address to check conditions in the meantime. Customer may also ask, through the link Company provides or by written notice under Section 1.21 with a current photograph of the placement location and route, that Company attempt the pickup on an available Business Day Customer chooses no more than five (5) Business Days after the scheduled pickup date, and Company attempts it on that day subject to availability. Customer's confirmation under Section 3.4(a) is not required before Company's next attempt, and each pickup attempt that cannot be completed is charged under subsection (e). Customer accepted the risk of ground conditions by selecting a placement location that is not a Hard Surface; Company's choice of the pickup date under this subsection, made on the driver's recorded determination under subsection (c), is not negligence and does not make Company responsible for damage within the risk Customer assumes under Section 3.1 or for a Covered Event under subsection (j). For each day after the scheduled pickup date, up to and including the day the pickup is completed, Customer pays a delay-day charge equal to the Extension Rate under Section 7.1(1), for no more than five (5) days per booking, billed once in the final settlement under Section 8.3(c); no delay-day charge applies for a day on which Company's operations are suspended under Section 10.4, or for any day after a day Customer chose under this subsection on which Company did not attempt the pickup for its own reasons. Company notifies Customer of a pickup not completed under this subsection by email, and by text where Customer has opted in, stating the reason with photographs, the charges under this subsection and their five-day limit, and the request below to stop watering (each, a notice under this subsection). Adding material to the Dumpster after the scheduled pickup date is use of the Dumpster after the scheduled pickup date without an extension under Section 2.4. Each notice under this subsection asks Customer to stop any irrigation, washing, or directing of water onto the placement location or access route. From the first day on which Customer adds material after the scheduled pickup date, or on which Customer, or a person Customer permits at the Service Address, engages in any of those activities after such a notice (including leaving running an irrigation system that waters the placement location or access route), as shown by time-stamped photographs or video in the Basis Record (for those activities, taken after that notice was sent), or by Customer's written admission, Holdover under Section 7.1(2) accrues instead of the delay-day charge under this subsection through the day on which Customer gives written notice under Section 1.21 that the activity has stopped and, where Customer added material, that no further material will be added; this subsection then applies again unless a later such record shows the activity resumed. Watering or washing after such a notice keeps the Dumpster at the Service Address for a reason within Customer's control. Charges under this subsection for earlier days stand. Rain, runoff from rain, roofs, or downspouts, water from a neighboring property or a public main, and a leak Customer reports to Company and repairs without unreasonable delay are not such activities. This subsection does not apply to a location to which the Dumpster was relocated in breach of Section 3.7.
(i) Delivery Reschedule for Ground Conditions. Once per booking, Customer may move a delivery because of ground conditions before 2:00 p.m. Central on the last Business Day before the scheduled delivery date, through the link Company provides — which shows the available dates, the charge, and any scheduling discount added back under Section 2.7(c) before Customer submits, and confirms the new date when submitted — or, where the link is unavailable, by written notice under Section 1.21, to an available date Company offers no more than five (5) Business Days after the scheduled delivery date. A rescheduling charge (an extension fee) equal to the Extension Rate for one day under Section 7.1(1) applies, charged under Section 9.3 only after the new date and the charge are confirmed to Customer in writing; it does not add a rental day. It is not refunded on a cancellation by Customer under Section 3.4(d), 3.5(e) or (f), or 9.1, or under subsection (f)(C) or (D), except as follows; it is refunded on a cancellation by Company under subsection (f)(F) or Section 9.6, on any cancellation under Section 2.6, 8.8, or 10.4, on a cancellation under subsection (f) on the notice of a decision under subsection (c) not to attempt a delivery, and on any cancellation after a dispatched delivery attempt failed that was not chargeable, including under Section 2.3 or 10.4 or subsection (c). Notwithstanding Section 1.11, the Rental Period begins on the new delivery date, and the scheduled pickup date moves by the same number of days, to the next Business Day where needed. A reschedule under this subsection is a change of dates at Customer's request under Section 2.7(c), and promotional days under Section 2.7(b) given for the original dates do not carry over. Notwithstanding Section 3.12, a request made by written notice is answered before 7:00 a.m. Central on the scheduled delivery date. Where no date is available within that period, no rescheduling charge applies, and Customer may cancel as a timely cancellation under Section 9.1 by notice sent before the later of 7:00 a.m. Central on the scheduled delivery date and four (4) hours after Company says so in writing, and Company does not deliver before that time; if Customer does not cancel, delivery proceeds on the original date. If Company has not answered a timely written request by 7:00 a.m. Central on the scheduled delivery date, no rescheduling charge applies, and Company does not attempt delivery until four (4) hours after it answers in writing, during which Customer may cancel as a timely cancellation under Section 9.1; if Company has not answered by 2:00 p.m. Central on that date, the delivery is moved, at no charge, to the date Customer requested if available, otherwise to Company's next available Business Day, Section 2.6 applies to the delay, and this does not count as Customer's reschedule under this subsection. For any further request, Section 9.1 applies.
(j) Vehicle Recovery and Repair. If, on the Service Address property, Company's vehicle or trailer becomes stuck, or is damaged by the giving way of the ground or surface beneath it, while at a Customer Location or while traveling to or from a Customer Location along its Customer Route (a "Covered Event"; in this subsection, Company's vehicle or trailer means any truck or trailer Company uses for the service, whether owned, leased, rented, or borrowed, and includes a Dumpster then carried on it or being loaded onto or unloaded from it, and damage to that Dumpster from a Covered Event or its recovery is recoverable only under this subsection and not under Section 6.1), Customer pays (1) the actual and reasonable cost of towing or recovery by a licensed towing or wrecker provider at its customary rates, or by another person or equipment operator Company engages (not exceeding what a licensed provider would customarily charge for the same work), without markup, under Section 7.3 (Company's own labor and equipment are not charged); and (2) the actual and reasonable cost of repairing physical damage to Company's vehicle or trailer directly caused by the Covered Event or by its recovery, excluding pre-existing damage, wear, and mechanical failure not caused by the Covered Event, and not exceeding the lesser of the fair market value of the damaged vehicle or trailer immediately before the damage and $2,500 per Covered Event — in each case documented by photographs and the provider's or repair shop's invoice (or, for a repair Company performs itself, the supplier's invoice for parts and materials, with no charge for Company's labor), and except to the extent the event, the damage, or the cost was caused by the negligence of Company or its recovery provider. For purposes of this subsection only, negligence includes Company's vehicle, before the event, leaving a Customer Route while traveling to or from a Customer Location (other than as the definition of Customer Route permits), entering a Marked No-Go Area, and careless operation, such as excessive speed, or continuing to spin the wheels after it is apparent that doing so is digging the vehicle in rather than freeing it (a brief, reasonable attempt to drive free is not negligence). Travel to or from a Driver-Selected Backup Location by a reasonable route that avoids every Marked No-Go Area, and positioning recovery equipment on ground this subsection permits, are not negligence for that reason; this sentence does not define negligence for any other Section. A decision to proceed that the driver made under subsection (c) and recorded in the Basis Record is not negligent merely because the vehicle or trailer later became stuck or the surface gave way; negligence is judged by what a reasonably careful driver would have recognized from the conditions observable at the time, including those shown in the Basis Record. Company bears the burden of showing that an event was a Covered Event, by photographs taken before recovery (or, where taking them before recovery was not reasonably possible, such as for darkness or an immediate hazard, taken as soon as reasonably possible, with the driver's contemporaneous record of why) that show the vehicle's position and, where the surface shows them, its tire tracks, in relation to fixed features such as buildings, driveways, fences, or trees; a GPS track alone does not establish the path driven but may be used with those photographs. Company charges only the invoiced amount, once invoiced, attaches the invoice and photographs to the notice under Section 9.3, charges no earlier than ten (10) days after sending that notice, and refunds any amount not owed under this subsection. Company sends that notice, or a written notice of the Covered Event with its photographs and a written estimate of the amounts Company expects to charge, within one hundred twenty (120) days after the Covered Event; an amount for which no such notice is sent within that period is not owed. An amount noticed by estimate is charged only once invoiced, never exceeds the estimate by more than fifteen percent (15%) unless Customer is sent a revised estimate before the repair, and is not owed if not invoiced within one (1) year after the Covered Event. The final settlement under Section 8.3(c) does not settle amounts under this subsection, and Customer's authorization under Section 9.3 to charge the payment method on file (the Payment Method on File under the Electronic Consent & Payment Authorization) for them continues until they are paid or found not owed. Customer may dispute a charge under this subsection by written notice within sixty (60) days after the notice under Section 9.3 of that charge; Company responds in writing within ten (10) Business Days, stating its basis; where the dispute is received before the charge is made, Company does not charge the disputed amount until it has sent that response, and then charges only the amount it maintains is owed; and Company refunds within five (5) Business Days any amount it agrees, or a decision under Section S.3 finds, was not owed. Company does not charge Customer an amount its insurer has paid, and if its insurer later pays any part of an amount Customer paid, Company refunds that part within thirty (30) days. Company's insurer, as subrogee, has no greater right against Customer than Company has under this subsection, and Customer's total liability to Company and its insurers together for towing and recovery, and for loss of, damage to, or loss of use of Company's vehicle or trailer, from the event never exceeds the amounts stated in this subsection, reduced by every amount Customer has paid and not had refunded. For a Covered Event, or another event to which clauses (1) and (2) apply, Customer assumes the risk of damage to a Customer Location, its Customer Route, and the ground next to them on the Service Address property reasonably needed to position recovery equipment (outside every Marked No-Go Area), from recovery performed without negligence by Company or its recovery provider, including by equipment heavier than Company's vehicle, except to the extent the event was caused by the negligence of Company or its recovery provider. Notwithstanding Sections 3.2 and 3.8, Customer authorizes Company and its recovery provider to enter the Service Address property, using the vehicle's route and the ground next to the vehicle and that route reasonably needed to position recovery equipment (outside every Marked No-Go Area, except as provided below), to recover Company's vehicle, trailer, or Dumpster after any event in which it becomes stuck or the ground or surface gives way beneath it, whether or not it is a Covered Event, and Customer may not withdraw this authorization while the vehicle, trailer, or Dumpster remains on the property. Company does not proceed by force or with a breach of the peace over the objection of a person present; if recovery is blocked, Company may seek relief in court under Section S.3(a), and Customer's obligations under this subsection are unaffected. Notwithstanding any other sentence of this subsection, where Customer, or a person Customer permits at the Service Address, prevents a recovery this subsection authorizes (by refusing entry, by directing Company or its recovery provider to stop or leave, or by physically blocking it) after the driver has told that person, and Company has told Customer by email and by text (an individual text under Part I, Section 1.1 of the Electronic Consent & Payment Authorization where Customer has not opted in, but no text where Customer has opted out), that the recovery is authorized by this subsection and that preventing it makes Customer liable for the costs stated in this sentence, whether or not the event is a Covered Event, Customer pays the added towing, recovery, and storage costs the prevention causes, court costs and, where permitted by law, reasonable attorney's fees for relief under Section S.3(a), and the reasonable cost of renting a substitute truck and trailer from that notice until recovery is permitted; these amounts are not subject to the dollar limit in clause (2) or the total-liability limit in this subsection. This authorization does not extend Customer's assumption of risk beyond what this subsection states. Where recovery cannot reasonably be performed without entering a Marked No-Go Area (including where the vehicle, trailer, or Dumpster is in one), Company asks Customer before entering it, by live telephone call or call attempt to the mobile number of record and by email and text (an individual text under Part I, Section 1.1 of the Electronic Consent & Payment Authorization where Customer has not opted in, but no text where Customer has opted out), stating the area and why it is needed; the request forms part of the Basis Record, and the two (2) hours below run from the later of the call attempt and the email. Customer may consent in writing, and then assumes that risk for that area on the same terms, or decline. If Customer declines and another reasonable recovery method that avoids that area is available, Company uses it, and for a Covered Event its reasonable added cost is a cost of towing or recovery under clause (1). If no such method is reasonably available, or Customer does not respond within two (2) hours after Company asks, Customer's authorization under this subsection extends to the least part of that area reasonably needed for the recovery, and, unless Customer consented, Company is responsible for physical damage the recovery causes to that area, whether or not Company or its recovery provider was negligent, only where that area was Physically Marked under subsection (b) (for this purpose, marks Customer places after Company's request and before the recovery enters the area also count), up to the greater of the amounts actually paid under the booking and ten thousand dollars ($10,000), as Section 10.1(b) provides for negligent damage and subject to Section 10.2. Where that area was not Physically Marked, subsection (b) governs damage the recovery causes to a Below-Ground Item there, and Company is otherwise responsible for damage the recovery causes to that area only as Section 10.1 provides. Company's request under this subsection also asks Customer to mark the area on the ground if it is not already marked, and Company and its recovery provider use ground mats or other reasonable protective measures over any item Customer identifies in that area. For a Non-Covered Ground Event for which Customer owes nothing under this subsection, Company is responsible for physical damage to the Service Address property caused by the recovery, including by equipment heavier than Company's vehicle, only as Section 10.1 provides (Section 10.1(b) for negligent damage; otherwise Section 10.1(a)), subject to subsection (b) as to Below-Ground Items, and not for damage within the risk Customer assumes under Section 3.1 from Company's vehicle and the Dumpster on a designated or normal access route; the use of recovery equipment heavier than Company's vehicle is not, by itself, negligence. For a Non-Covered Ground Event to which clauses (1) and (2) apply, Customer assumes the risk of recovery damage as for a Covered Event. Where the vehicle presents no immediate hazard and the two (2) hours would end outside Business Hours, the period instead ends at 10:00 a.m. Central on the next Business Day. Amounts under this subsection are direct damages not limited or excluded by Section 10.1. Where Company's vehicle or trailer becomes stuck, or is damaged by the giving way of the ground or surface beneath it, anywhere in the course of a service under this Agreement (including on the Service Address property; on any private road, shared driveway, or easement used to reach it; and at a placement location off that property, including one Customer selects under Section 3.9, or on the street, right-of-way, or property where that placement location is), in an event that is not a Covered Event (a "Non-Covered Ground Event"), Customer owes nothing for towing, recovery, or loss of, damage to, or loss of use of Company's vehicle or trailer from it — including an event while traveling to, at, or from a Driver-Selected Backup Location, off a Customer Route, or in a Marked No-Go Area — except a Non-Covered Ground Event caused in material part by Customer's willful misconduct, by a knowingly false statement by Customer under subsection (a), by Customer's knowing failure to mark, as subsection (b) requires, a septic system, cistern, well, trench, excavation, fill, or other buried or soft-ground hazard, or by a load exceeding the Type Maximum or containing material prohibited under Section 4.1(a)–(e) that Company could not reasonably have detected before lifting the Dumpster, to which clauses (1) and (2) apply as though it were a Covered Event. For any event caused by Customer's willful misconduct, whether or not a Covered Event, the dollar limit in clause (2) and the total-liability limit in this subsection do not apply. This subsection states Customer's entire liability for loss of, damage to, or loss of use of Company's vehicle or trailer arising from the vehicle or trailer becoming stuck, or from the giving way of any surface or ground, anywhere in the course of a service under this Agreement, including each place listed in the definition of a Non-Covered Ground Event (this does not limit liability for an event caused by Customer's willful misconduct, or for a collision with, or other damage to, the vehicle or trailer caused by Customer or a person Customer permits at the Service Address), and no other amount for that loss is owed under Section 5.1, 6.1, or 10.1(d) or otherwise. Section 6.1 (as to a Dumpster, except damage that this subsection makes recoverable only under it, and damage caused by a Non-Covered Ground Event for which Customer owes nothing under the preceding sentences) is not affected; Section 10.3 is not affected, except that it does not apply to claims by Company's insurers, recovery providers, or repair shops for loss, damage, towing, recovery, or repair described in this subsection.
(k) Customer's Request Before Placement. Before the Dumpster is placed, Customer may ask Company to use the Backup Location, or another location on the Service Address property, instead of the selected location. Notwithstanding Sections 1.21 and 3.12, Customer may ask through the link Company provides, by written notice under Section 1.21, in person to the driver, or by live telephone conversation with Company, on a call to (918) 935-1054 or a call Company places to Customer's number of record (not voicemail); a request made in person by an adult at the Service Address who states that he or she is acting for Customer, and whose name the driver records, is Customer's; a request made in person or by telephone is effective when made, Company confirms it to Customer in writing, and the driver's record of it forms part of the Basis Record. A location Customer requests is a location designated by Customer for all purposes of this Agreement (other than subsection (j), as to a Driver-Selected Backup Location), including Sections 3.1, 5.1, 6.1, and 10.3, subject to the driver's determination under subsection (c). No charge applies to the change. After placement, a move is a requested relocation under Section 3.11, except that where a Driver-Selected Backup Location blocks a garage door or the only vehicle exit from the property and another suitable Hard Surface was available, or blocks the only vehicle exit and was placed there without the approval subsection (b) requires, Company moves the Dumpster to a suitable location Customer requests under this subsection at no charge on its next available Business Day.
3.14 Overhead Clearance; Branches.
(a) Clearance and Space. Customer's warranty under Section 5.1 includes the following minimums, each as shown when Customer selects the placement location and stated in the Booking Confirmation: the vertical clearance over the access route; the vertical clearance over the placement location and over the stated distance in front of it, across the stated clear width, where the trailer tilts to load and unload; a straight, reasonably level approach in line with the placement location, for the vehicle and trailer to back in and set or lift the Dumpster; and the clear width along the access route and at the placement location. Company may change these minimums for later bookings; the minimums stated for a booking apply to it. Where clearance or space is short for a reason other than branches, the shortfall is a condition within Customer's control under Sections 3.3 and 3.4.
(b) Company's Option. Where clearance is short because of branches, Company may, at its sole option, either (i) treat the insufficient clearance as a condition within Customer's control under Section 3.4, and the Trip Charge applies, and Section 3.13(c) through (g) apply to the decline of the location or route as for any other condition within Customer's control; or (ii) cut the branches reasonably needed to provide the clearance and complete the service. Company does not provide tree-care services, is not obligated to trim, and charges nothing for trimming. By accepting this Agreement, Customer authorizes the trimming described in clause (ii) for every service under the booking. A Customer who does not want branches cut should choose a placement location and route that Company's vehicle and trailer do not need to pass under.
(c) Limits. Company cuts only branches the driver can cut safely from the ground with hand tools or a pole saw. Company does not: cut a trunk, or remove a tree or shrub; cut any branch within ten (10) feet of an overhead electric, telephone, cable, or other line, or that could fall or swing within ten (10) feet of one; cut a tree or plant growing in a public street, alley, sidewalk, or right-of-way; cut a tree or plant growing on adjoining property, or one Company cannot reasonably determine is on the Service Address property; or cut over the objection of a person present at the Service Address. An objection is treated as a decline under clause (b)(i).
(d) Customer's Authority. Customer represents that Customer owns, or is authorized by the owner to permit trimming of, each tree and plant at the Service Address, and that no restriction, association rule, easement, or ordinance Customer knows of prohibits it. Customer's indemnity under Section 10.3 includes claims by any owner, neighbor, association, or public authority arising from trimming under this Section, except to the extent caused by Company's negligence or willful misconduct.
(e) Risk. Customer accepts the effect of trimming on the appearance, shape, health, or growth of the plant, including disease or dieback afterward. Company is responsible only for damage caused by its negligence in trimming, such as a cut branch falling onto a vehicle or structure, subject to Section 10.1(b). The driver's before-and-after photographs form part of the Basis Record.
(f) Cuttings. Company may place the cuttings in the Dumpster, below the top rim, whatever waste types are selected. Cuttings Company places are disposed of with the load and passed through at actual cost under Section 8.3(b), and count toward the Type Maximum like the rest of the load. They are not treated as material of a waste type not selected, and do not by themselves cause recalculation under Section 8.5. Where the Dumpster has no room, where the cuttings would bring the load above the Type Maximum, or where the load is Roofing Debris, Company leaves the cuttings on the Service Address property near the placement location.
SECTION 4 — WASTE RESTRICTIONS
4.1 Prohibited Materials. The following are strictly prohibited and may not be placed in the Dumpster in any quantity. Prohibited Materials fall into two categories, both prohibited, which differ only in what Company may lawfully do once they are found:
Unacceptable Materials — subsections (a), (c), and (e), subsection (d) except items that are also Hazardous Materials under subsection (b), and subsection (f) where the material can lawfully be transported: lawful to transport, but outside what Company accepts as standard. Where a permitted facility able to receive the material is available, Company may elect to collect the load and recalculate it under Section 8.5 instead of refusing it. Electing to collect is not a waiver of the prohibition, does not establish a tolerance or precedent, and does not relieve Customer of any charge arising from the material.
Hazardous Materials — subsection (b), including Schedule A-1 items 1, 2, 4–7, 10–14, 16, 17 and 24, and subsection (f) where the material cannot lawfully be transported: unlawful or unpermitted for Company to transport or dispose of. Title to and liability for these remains with Customer at all times. Company will not transport them under any circumstances, and Section 4.2 is the only route by which they are dealt with.
(a) Heavy dense materials — dirt, soil, sand, gravel, rock, concrete, brick, block, asphalt, stucco, plaster, stone (including slate), ceramic and porcelain tile, countertops made of stone, quartz, or cultured marble, clay and concrete roof tiles, and similar heavy dense materials — with no incidental or de minimis tolerance. Company does not accept heavy dense materials under any waste type, in any amount. Company's acceptance of a trivial incidental quantity in any instance, if any, is governed by the Discretionary Acceptance provision of Addendum A and establishes no tolerance or precedent;
(b) Hazardous Materials, meaning any material regulated as hazardous waste or universal waste under federal or Oklahoma law, or that would be so regulated if it were not generated by a household, and any other hazardous substance the receiving facility may not accept in the form or amount present (a material on a selected type's accepted list is not a Hazardous Material merely because it contains a listed substance, such as the preservative in pressure-treated lumber or the metal in piping); deleterious substances within the meaning of 47 O.S. § 177.2 and Oklahoma Corporation Commission rules — including chemicals in bulk, salt water, oilfield brine, produced water, waste oil, waste emulsified oil, basic sediment, tank bottoms, and drilling mud — and other oil and gas exploration and production wastes, whether or not exempt from regulation as hazardous waste, which Company holds no permit to transport in any quantity; drums, tanks, totes, and bulk containers with residue or unknown contents; asbestos-containing material; PCB-containing material; infectious or medical waste; radioactive material; explosives and ammunition; and propane tanks and compressed-gas cylinders, whether or not generated by a household;
(c) water heaters, cast-iron tubs, and railroad ties;
(d) every item listed in Schedule A-1 (Prohibited Materials Schedule) to Addendum A;
(e) Specialty Items not declared and included in the estimate at booking, and quantities above those declared; and
(f) any material that renders the load unlawful to transport or dispose of, including any material the receiving disposal facility is not permitted to receive under its permits or applicable law, whether or not it appears on Company's published lists.
The accepted-materials lists of the selected waste type(s), as presented at booking, control what may be loaded; materials not on any selected type's accepted list are prohibited as Unacceptable Materials unless they also fall within subsection (b) or (f). For any material not addressed by the accepted or prohibited lists, Customer may submit a pre-loading inquiry by written notice under Section 1.21; Company's written response controls for that booking and is recorded in the Basis Record. Until Company approves the material in writing, it remains prohibited: silence, a late response, or a verbal statement is not approval.
4.2 Remediation of Prohibited Materials. This Section governs Hazardous Materials, and Unacceptable Materials that Company has not elected to collect under Section 4.1. If such materials are discovered in the load, Customer may elect, within the wait period under Section 3.3, to (A) remove the materials at Customer's expense before lawful pickup, or (B) authorize Company to remediate the load at the prices in Section 5.3(c)(iv). Failing an election, Section 5.3(b)–(c) applies. Company may also, at no charge and without electing to collect it, lift an item of Unacceptable Material out of the load and leave it on the ground beside the Dumpster at the Service Address, photographing it in place; the item remains Customer's property and responsibility, Company notifies Customer with the photographs, and Section 3.4 applies only if the remaining load still cannot be lawfully collected. Company does not do this for Hazardous Materials. A charge for removing, handling, or disposing of material is made only under Section 5.3, with its notice and documentation. Company will not itself handle, remove, or transport Hazardous Materials. Where Hazardous Materials are present, Customer shall remove them under option (A) where Customer may lawfully do so, or otherwise arrange removal by an appropriately licensed contractor, or Company may retain one at Customer's actual cost under Section 7.3, and the Dumpster remains at the Service Address, subject to Holdover charges, until the Hazardous Materials are removed.
4.3 Refusal and Overweight Loads. Company may refuse collection where the load contains prohibited materials, or exceeds — or in Company's reasonable judgment at pickup, based on the load's materials, volume, and appearance (Company does not weigh loads on site), likely exceeds — lawful weight limits, Company's vehicle ratings, or the Type Maximum, presents a safety hazard, or where, because of the load's contents or condition, no permitted facility known to Company and able to lawfully receive the load is reasonably reachable from the Service Address on the scheduled service day. Availability under this Section is determined by the facilities in Company's records and their acceptance criteria and operating hours as they stood at the time of the service attempt; the later discovery of a facility that could have received the load does not make the attempt improper or the resulting Trip Charge unowed. In such cases, Section 3.4 applies and the rental continues until Customer remedies the load. Where the only obstacle is a facility closure, delay, or capacity limit unrelated to the load, Section 2.6 or 8.3(g) applies and no Trip Charge or Holdover applies. Overweight loads that are lawfully collectible are charged at the scale-verified actual disposal differential above the estimated disposal component, plus the Trip Charge where a separate service attempt is required.
4.4 Fill-Level Limit; Precipitation. The Dumpster's load must stay below the top rim and within the Type Maximum, and must be loaded so the rear door closes and latches, with nothing resting against or extending past the door opening. Loads above the top rim cannot be covered and secured to meet cargo-securement requirements, and Company will not transport a load it cannot lawfully and safely transport; a refused pickup is treated under Section 4.3. Customer is responsible for rain, snow, and water accumulating in the Dumpster, and should cover the Dumpster when precipitation is expected. Water weight counts toward the Type Maximum and Company's lawful operating weight, is not a basis for adjusting the scale-verified weight, and may be grounds for refusal under Section 4.3 if it causes the load to exceed either limit.
4.5 Certifications; Refrigerant Documentation; Facility Forms.
(a) Customer certifies that no Hazardous Materials or other prohibited materials will be placed in the Dumpster.
(b) Appliances that contain or contained refrigerant (including refrigerators, freezers, air conditioners, dehumidifiers, and water coolers) are accepted only if declared at booking, and only under one of the following options, selected at booking. Central or split-system air conditioners, heat pumps, condensing units, and other refrigerant equipment that is not a self-contained household unit are accepted only under option (ii). An appliance whose refrigerant was removed or leaked out is still a refrigerant appliance. The options are:
(i) Recovery at the facility. Company delivers the appliance intact to a disposal facility that recovers the refrigerant on site, and that facility is responsible for the recovery. Any facility charge for the appliance or its recovery is passed through at actual cost under Section 8.3(b). This option is available only where a facility that performs recovery accepts every waste type and Specialty Item on the booking, and it routes the entire load to that facility. No recovery statement is required from Customer.
(ii) Recovery before pickup. All refrigerant is recovered by an EPA-certified technician, and Customer provides a signed statement identifying the name and address of the person who recovered the refrigerant and the date of recovery. Customer may give that statement in the certification at signing where recovery has already occurred, or through the link Company provides once it occurs.
(iii) Previously released. Customer certifies that all refrigerant in the appliance leaked out before delivery because of a system failure, accident, or other unavoidable occurrence not caused by anyone's negligence or deliberate act (such as cutting refrigerant lines), so recovery is not possible, and may describe what occurred.
An appliance that is not declared at booking, or that arrives without the certification required by the option selected, is a prohibited material under Section 4.1, and Company may refuse to transport it.
(c) Company may furnish Customer's statements to the receiving facility and may complete facility forms for the load. Any statement Company makes on a facility form is made in reliance on Customer's certifications and Company's visual inspection at pickup, and Customer is responsible under Section 10.3 for losses arising from any inaccuracy in Customer's certifications.
(d) Customer authorizes disclosure of load characterization information to the receiving facility as required or requested by the facility under its permits, acceptance procedures, or applicable law, as described in the Privacy Policy.
(e) Title to Contents. (1) Title to Accepted Contents passes to Company when Company begins loading the Dumpster for removal, and Company transports them as its own property. (2) Title never passes to the following, which remain Customer's property and responsibility: (i) any item extending above the top rim or outside the Dumpster, in its entirety, even where part of it is inside; (ii) any material outside the Dumpster, including material that falls, blows, or spills from it, or that comes out of it before it is secured on Company's vehicle; (iii) Prohibited and Hazardous Materials, wherever located, except that Unacceptable Materials Company elects under Section 4.1 to collect pass to Company with the load; and (iv) material Company removes and sets aside under Section 5.3. (3) The passing of title does not relieve Customer of responsibility under this Agreement for misdeclared or prohibited material found after loading, including at the disposal facility, or for the charges under Section 8.5. Title to Hazardous Materials never passes from Customer.
4.6 Asbestos Screening. For bookings that include Limited C&D Debris or Roofing Debris, Customer shall state at booking whether the debris comes from a structure built before 1981. If so, Customer certifies either that the materials have been tested and are free of asbestos-containing material, or that the load contains no suspect materials (including acoustic or "popcorn" ceiling texture, vinyl or asphalt floor tile and its mastic, drywall joint compound and wall or ceiling texture, pipe or boiler insulation, cement-asbestos siding or roofing, and vermiculite insulation). If asbestos-containing material is found in the load, all estimates, tier estimates, facility assignments, and credits for the booking are void, the load is treated as containing Hazardous Materials under Section 4.2, and Customer shall pay all actual costs of testing, licensed abatement, containment, transportation, disposal at a permitted facility, and decontamination of the Dumpster under Section 7.3, together with Holdover charges while the Dumpster cannot lawfully be moved. Customer is responsible for any inspection or notification required by law before renovation or demolition.
SECTION 5 — SITE CONDITIONS, ACCESS SAFETY, AND LOAD CONDITION
5.1 Site Representations. Customer represents that the delivery site is accessible by Company's vehicles through normal access routes, that gates will be unlocked or accessible during the scheduled window, that the site can lawfully and safely accommodate the Dumpster, that placement complies with every permit, ordinance, owners'-association rule, covenant, and lease term that applies to it (Customer obtains any required permit or approval and pays any resulting fine, under Section 10.3), that the placement area is reasonably level with a slope of no more than fifteen percent (15%) — about 8.5 degrees, or a 1.5-foot rise over 10 feet — and that the placement area and access route can support the weight of a fully loaded Dumpster and the delivery vehicle (together approaching thirteen (13) tons). Customer warrants sufficient overhead and side clearance for delivery and retrieval (free of wires, branches, roof lines, eaves, and other overhangs), including the vertical clearance, straight approach, and width stated in Section 3.14(a); Section 3.14 governs trimming of branches. Customer is responsible for damage to neighboring property caused by Customer's designation of the placement location, or by loading or use of the Dumpster. Company is responsible for damage caused by the negligent operation of its vehicle or handling of the Dumpster, subject to Sections 3.13(b) and 10.1(b). Ground conditions that change after booking, including from weather, are not a breach of any representation or obligation in this Section or in Section 6.2, unless the change is caused by Customer or a person Customer permits at the Service Address (other than by ordinary use of the Dumpster); Company's rights when ground conditions prevent safe service are stated in Section 3.13, and Sections 3.1 and 10.3 and the other sentences of this Section continue to apply.
5.2 Entry and Wait Time. Sections 3.2 through 3.4 and Section 3.13 govern entry, wait time, and failed service attempts.
5.3 Load Condition at Pickup; Load Service Charge; Remediation.
(a) Lawful Transport Condition. Customer is responsible for presenting the load in lawful transport condition at pickup: below the top rim, with the rear door closed and latched, within the Type Maximum, weighted and distributed for safe transport, and containing no prohibited materials. The driver's on-site work is limited to tarping-system verification and securing the load, within the wait period under Section 3.3. No Load Service Charge applies where the load is presented in lawful transport condition. The Load Service Charge applies only where the driver performs minor correction work within the wait period (such as knocking down or redistributing material, or removing a few items above the rim). Company may document the correction with before-and-after photographs or video.
Where correction work continues beyond the wait period at Company's election, the Load Service Charge covers the first fifteen (15) minutes and the additional time is charged as Service Time at the Service Time Rate, evidenced by the recorded start and finish times. Company is not obliged to continue beyond the wait period and may instead decline pickup under subsection (b)(i). Time charged under this paragraph is owed whether or not the correction succeeds, as the time is expended because the load was not presented in lawful transport condition; where it does not succeed, subsection (b)(i) applies to the pickup itself.
(b) Non-Compliant Load. Where the load is not in lawful transport condition within the wait period, Company will notify Customer and may elect one of the following:
(i) Decline pickup under Section 4.3. The Trip Charge applies, and Holdover charges under Section 7.1(2) accrue for each day the Dumpster remains beyond the scheduled pickup date until the load is remedied. Holdover stops accruing on the day after Customer gives written notice that the load has been remedied, provided the load is compliant at the next attempt; if it is not, Holdover resumes as if the notice had not been given. If Customer declines to remedy the load, this subsection does not limit Company's rights under subsection (c).
(ii) Quoted Remediation — additional work beyond the wait period, performed after Customer approves a quoted price. Where the failed attempt is chargeable, the Trip Charge applies; preparing the quote itself is not separately charged. The quote states estimated on-site time as Service Time at the Service Time Rate, equipment (including machinery rental at actual cost), any additional container required (booked and charged under subsection (c)(viii)), and third-party disposal costs at actual cost.
(iii) Accept the load under the Load Service Charge alone, at Company's discretion, where the excess work is minor.
Company's exercise of any election in a particular instance does not waive any option, right, or remedy in any other instance (Section 9.4).
(c) Remediation Following Declined, Unanswered, or No Quote.
(i) Standing Instruction. Customer's booking of disposal services constitutes Customer's continuing instruction that the contents of the Dumpster be rendered lawful for transport and destroyed at a lawfully permitted disposal facility. Customer's acceptance of this Agreement constitutes Customer's standing instruction to Company to perform the work reasonably necessary to bring a non-compliant load into lawful transport condition whenever Customer declines, ignores, or is not offered a quote under subsection (b)(ii), subject to subsection (c)(i-a). Once any part of the work has begun, the instruction may not be withdrawn mid-performance. Company may begin, pause, resume, stage, or complete the work across one or more visits over a reasonable period, and each visit is a separate service priced under this subsection.
(i-a) Notice Before Remediation. Before beginning remediation under the standing instruction, Company will send written notice by text and email describing the non-compliance, the work Company intends to perform (including any machinery, any vehicle heavier than Company's standard vehicle, any additional container, and any material to be left on the ground under subsection (ix)), and a good-faith estimated cost range. Where an additional container is to be used, the notice also states its Estimated Full-Load Total, that it will be charged under subsection (viii) before the container is dispatched, and what Company may do if that charge is declined. If Customer does not remedy the load or object in writing by 2:00 p.m. on the first Business Day after the notice is sent, the standing instruction applies. A timely objection revokes the instruction, and Sections 5.3(b)(i) and 3.8 then govern. If the work will cost more than the top of the estimated range plus fifteen percent (15%), Company will send a revised estimate under this subsection before continuing, and the standing instruction applies to the revised estimate on the same terms. Customer remains responsible for the work performed under each estimate.
(ii) Scope. Remediation includes any work reasonably necessary to render the load lawful for transport: redistribution, offloading, separation and removal of prohibited materials (other than Hazardous Materials, which are governed by Section 4.2), removal of contents from the container, temporary placement of contents on surfaces adjacent to the container as required to complete the work, reloading, consolidation into additional containers, securing, and cleanup of material disturbed by the work. Remediation may include use of an excavator or other machinery to offload, separate, or reload material, and transport of the loaded Dumpster intact by a licensed motor carrier with greater lawful capacity, to a facility permitted to receive the load. Company will not dig or excavate below grade. Material offloaded or transferred under this subsection may be placed on the ground, and loose material may fall to the ground during transfer between containers. Company places material rather than throwing or dumping it, on the nearest surface reasonably suitable to avoid unnecessary damage, and cleans up material it causes to fall. Customer remains responsible for the lawful disposition of prohibited materials removed from the load. Company may perform the work with its own personnel, subcontract any part of it, or use machinery. Company is not obligated to preserve, protect, segregate, or salvage the contents beyond Section 3.8, and contents removed from the container and left at the Service Address remain Customer's property and responsibility, except as provided in Section 3.8.
(iii) No Duty to Quote. Quoting remediation work is a courtesy, not an obligation. Where Company does not quote, the standing instruction applies directly after notice under subsection (c)(i-a), and Customer pays for the work performed under subsection (iv).
(iv) Expenses. Customer shall pay for the remediation work, as documented: on-site time as Service Time at the Service Time Rate, equipment and machinery rental at actual cost, subcontracted work at actual cost, any additional container under subsection (viii), additional trips at Standard Rates, and third-party disposal and facility costs at actual cost. Third-party costs are charged without markup and evidenced by invoices, scale tickets, or facility receipts. These charges are prices for remediation services performed at the load and site conditions Customer presented, and are not penalties.
(v) Company Records; Account Stated. Company's records of the work performed — including photographs or video, driver logs, itemized invoices, and scale tickets — are evidence of the work performed, its necessity, and the expenses incurred, and are retained in the Basis Record and available to Customer on request. Invoices are subject to Section S.4.
(vi) Payment Condition. Payment of remediation charges is a condition of further services other than pickup of the Dumpster, and Company may decline further bookings and suspend account activity while amounts remain unpaid.
(vii) Floors Preserved. This Section does not authorize negligent performance and does not extend to deliberate work on structures, landscaping, or property beyond the load, its container, and the surfaces necessarily used to complete the work. Where Customer approved in writing the use of machinery or a vehicle heavier than Company's standard vehicle, or Company's notice under subsection (c)(i-a) stated the machinery or heavier vehicle to be used and Customer did not remedy the load by that subsection's deadline, Section 3.1's allocation applies to the ordinary weight and non-negligent operation of that equipment within the placement location and access route; absent that approval, Company bears the risk of damage from that equipment's weight and operation, except damage to a Below-Ground Item that Section 3.13(b) excludes. Company requires its subcontractors to carry liability insurance and is responsible for damage caused by the negligent operation of equipment by Company or its subcontractors, subject to Section 10. Nothing in this Section obligates Company to perform any remediation; Company may instead decline pickup and proceed under Section 3.8 at any point before remediation has begun.
(viii) Additional Container. Where remediation requires an additional container to receive material from the Dumpster, the additional container is a separate booking under Section 2.8, at the Service Address, for the waste type(s) of the original booking (and any further type the material actually present requires under Section 8.5), with its own Type Maximum and Estimated Full-Load Total, and settled under Section 8.3. It has no rental days: notwithstanding Sections 1.13, 2.1, and 2.2, it is priced under Section 8.1 as its delivery trip, its pickup trip, and disposal at its Type Maximum, at the Standard Rates under Section 1.23, with no rental-period, extension, or extra-day charge, and no extension under Section 2.4 is available for it. Customer shall not add material to it. Company picks it up as soon as Company's schedule reasonably permits after the material is placed in it, and its Rental Period ends at that pickup. Sections 3.4 and 3.13 apply to a pickup of it that cannot be completed, and Holdover under Section 7.1(2) accrues only for days it remains because of a condition within Customer's control. This Agreement, the Electronic Consent & Payment Authorization, and Customer's statements at booking for the original booking (including the placement surface, Backup Location, Customer Routes, and Marked No-Go Areas under Section 3.13) apply to the additional booking without a new signature. Company charges the additional booking's Estimated Full-Load Total to the Payment Method on File, with the notice required by Section 9.3, before it dispatches the additional container, and is not required to dispatch it until that charge succeeds. The charge for the additional booking is in addition to the charges for the remediation work under subsection (iv). If the charge is declined, Customer remains responsible for the remediation already performed, and Company may, at its option: (A) leave the excess material on the ground under subsection (ix); (B) decline pickup under subsection (b)(i); or (C) proceed under Section 3.8. Section 2.3 of the Electronic Consent & Payment Authorization applies to the declined charge.
(ix) Material Left on the Ground. Where Company brings the load into lawful transport condition by removing material from the Dumpster and leaving it at the Service Address, including where the charge for an additional container under subsection (viii) is declined:
(1) Where it is placed. Company places the material only on the Service Address property, on or beside the placement location or on another reasonably suitable surface outside every Marked No-Go Area, and never on a public street, sidewalk, alley, or right-of-way, or on adjoining property. Where no such surface on the Service Address property can reasonably be reached (for example, where the Dumpster sits on a public street under Section 3.9), Company does not leave material on the ground and may instead proceed under subsection (b)(i) or Section 3.8.
(2) Consent and authority. By accepting this Agreement, Customer consents to Company's placing material from the Dumpster on the Service Address property under this subsection, and represents and warrants, as part of Section 6.2, that Customer owns that property or is authorized by its owner to give that consent. A timely objection under subsection (c)(i-a) withdraws that consent for the remediation the notice concerns.
(3) Customer's material and responsibility. The material remains Customer's property and responsibility under Section 4.5(e). Company has no duty to cover, secure, guard, collect, or later remove it. Customer shall remove and dispose of it lawfully, comply with every ordinance, association rule, and order concerning it, and keep people away from it until it is removed.
(4) Notice. Company notifies Customer by email, and by text where Customer has opted in, with photographs of the material in place, stating where it was left and that it is Customer's to remove and dispose of.
(5) Charges. The work of removing and placing the material is remediation work charged under subsection (iv). No disposal charge applies to material left on the ground.
(6) Indemnity. Customer's indemnity under Section 10.3 includes fines, citations, cleanup orders, and claims by any owner, occupant, neighbor, association, or public authority arising from the material or its placement under this subsection, including any claim that it was placed without the property owner's consent, except to the extent caused by Company's negligence in placing it.
This subsection does not apply to Hazardous Materials, which Section 4.2 governs.
(d) Contents That Will Not Discharge. If contents are frozen, packed, wedged, or stuck so that they do not come out when the Dumpster is tipped at the disposal facility, Company may free them by hand, by waiting, by working the load with the facility's equipment where the facility allows it, or by taking the Dumpster to the Yard to thaw or be dug out. Customer pays: Service Time at the Service Time Rate for the time spent freeing the contents beyond the first fifteen (15) minutes; any charge the facility makes for equipment, extra time, or a second tip, at actual cost under Section 7.3; and, where the Dumpster must go to the Yard and back to the facility, the additional trips at Standard Rates. Company documents the condition with photographs or video. No charge applies under this subsection where the contents did not discharge because of Company's negligence. Covering the Dumpster and keeping water out of the load (Section 4.4) reduce the risk of freezing.
5.4 Placement Area Safety. Customer is responsible for the safety of the placement area during the Rental Period, including securing the area against children and unauthorized persons. Dumpster doors, walls, and contents present hazards when accessed or climbed. Customer shall not let anyone climb on or into the Dumpster, shall keep the rear door closed and latched except while loading, and shall open and close it from the side with the area behind it clear, because the door is heavy and can swing. Customer assumes the risk of injury from loading and using the Dumpster, except to the extent caused by Company's negligence or a defect in the Dumpster. Nothing in this Section limits Company's liability under Section 10.2.
SECTION 6 — CUSTOMER RESPONSIBILITIES
6.1 Care, Inspection, and Return of the Dumpster. Customer is responsible for the Dumpster from delivery to pickup, including theft, vandalism, and damage occurring at the Service Address or placement location, wherever located, except where caused by the negligent or wrongful acts or omissions of Company or its subcontractors or by a Non-Covered Ground Event for which Customer owes nothing under Section 3.13(j), and except that damage to a Dumpster carried on, or being loaded onto or unloaded from, Company's vehicle or trailer, from a Covered Event under Section 3.13(j) or its recovery, is recoverable only under Section 3.13(j). Customer shall inspect the Dumpster upon delivery and report any pre-existing damage (with photos where possible) through the link in Company's delivery notice or by written notice under Section 1.21, by 10:00 a.m. on the next Business Day following delivery; failure to do so constitutes acceptance of the Dumpster in good condition, subject to Company's delivery-condition documentation in the Basis Record. Customer's own pre-delivery photographs do not extend this deadline. Customer shall return the Dumpster in the same condition as delivered, Reasonable Wear and Tear excepted. Where the Dumpster is damaged or lost, Customer shall pay (a) the lesser of the reasonable cost of repair or the Dumpster's fair market value immediately before the loss; (b) loss of use at the Holdover rate under Section 7.1(2) for each day the Dumpster is out of service, up to thirty (30) days; and (c) Company's reasonable documented costs of recovering, transporting, and assessing the damaged Dumpster. Company's photographs, video, scale tickets, and driver reports are evidence of the matters they record and are retained in the Basis Record.
Cleaning. Customer shall return the Dumpster without residue beyond what normal loading of Accepted Contents leaves. Where the Dumpster is returned with residue of prohibited materials or liquids (such as paint, oil, grease, or chemicals), food, animal, or other putrescible waste, or residue that stains, smells, or must be removed before the Dumpster can be rented again, Customer shall pay the reasonable cost of cleaning it: Service Time at the Service Time Rate; supplies and third-party cleaning or wash-out services at actual cost; and disposal of the residue and wash water at actual cost under Section 7.3; together with loss of use under clause (b) of this Section for each day the Dumpster is out of service for cleaning. Company documents the residue with photographs or video taken before cleaning.
6.2 Load Compliance; Inspection; Personal Property; Other Persons. Customer is responsible for ensuring the load complies with Section 4 and that the Dumpster remains accessible for pickup on normal access routes. Results of Company's online load estimator, and weight and volume figures in descriptive or educational material on Company's website, are planning aids only; they are not part of the Booking Confirmation and do not limit or change the Type Maximum or Customer's responsibility under Sections 1.7, 4, 5.3(a), and this Section. An estimated weight or volume Customer enters at booking, whether or not taken from the load estimator, is used only as Section 8.1(a) provides. Company may visually inspect the Dumpster and its load at any time, through normal access routes, for transport-compliance and material-verification purposes. Customer represents and warrants that Customer is the property owner at the Service Address or has the property owner's authorization to place the Dumpster there and to consent to the placement of material from the Dumpster on that property under Section 5.3(c)(ix), and to agree, for the owner, to the allocation of risk for Below-Ground Items in Section 3.13(b); if that is untrue, Customer is liable to Company for the loss Company suffers as a result. If, during the Rental Period, Customer ceases to own, occupy, or control the Service Address (for example, on a sale, foreclosure, eviction, or the end of a lease), Customer shall notify Company in writing before the transfer or departure and arrange access for pickup; where Customer fails to do so and a successor owner or occupant blocks or refuses access, that is a condition within Customer's control for Sections 3.4 and 3.8. Where that representation is knowingly false and Company has performed a service attempt in reliance on it, Customer shall pay the Trip Charge. Customer is responsible for all contents of the Dumpster during the Rental Period regardless of who placed them there, including materials placed by third parties without Customer's knowledge or consent, and shall secure the placement area against unauthorized use where practicable. Customer is solely responsible for any personal property placed in the Dumpster; Company is not responsible for lost, stolen, or mistakenly discarded personal property, or the cost of retrieving it, except as provided in Section 3.8 and except to the extent the loss is caused by Company's negligence or willful misconduct (such as a pickup performed on the wrong date or at the wrong address), subject to Section 10.1. Customer is encouraged to maintain liability insurance covering use of the Dumpster.
Customer represents that the person accepting this Agreement is authorized to act for all persons in control of the Service Address with respect to the Dumpster's placement, access, and use, and Customer shall indemnify Company for losses arising from any such person's interference with pickup, access, or the load, except where caused by Company's negligence or willful misconduct. Where Customer is a contractor or agent booking on behalf of another, Customer remains fully liable as principal, and the property owner's consent to placement does not relieve Customer of any obligation. Where multiple customers jointly book a rental, their obligations are joint and several.
6.3 Burning Prohibition. Customer shall not burn any material in or near the Dumpster. Burning is a material breach of this Agreement, and Customer is liable for all resulting damage to the Dumpster and Company equipment, measured under Section 6.1, and related expenses evidenced at actual cost under Section 7.3.
6.4 Machinery Use; Third-Party Compaction; Safe Lifting Capacity. Where the Booking Confirmation states machinery use is not permitted, using machinery (skid steers, loaders, excavators, or similar) to load the Dumpster, or operating machinery in contact with it, is a material breach of this Agreement. Where machinery use is permitted, Customer remains fully responsible for all resulting damage beyond Reasonable Wear and Tear. Customer shall not permit any third-party service, including mobile compaction, crushing, or grinding equipment, to compact, crush, or reduce material within the Dumpster; doing so is a material breach, makes Customer liable for all resulting damage measured under Section 6.1, and is cause for termination under Section 9.5. Where a load exceeds the safe lifting capacity of Company's truck or the lawful hauling weight, Customer shall offload material until the load can be lawfully and safely transported; a pickup refused for that reason is treated under Sections 3.4 and 4.3. Customer is liable, as direct damages under Section 10.1(d), for physical damage to Company's vehicle, trailer, or lifting equipment caused by a load exceeding the Type Maximum or containing material prohibited under Section 4.1 that Company could not reasonably have detected before lifting, except where Section 3.13(j) governs the event.
6.5 Business Bookings; Insurance Certificates. For bookings by business customers, Company may require, as stated in the Booking Confirmation, a certificate of insurance naming Roll-Out Rentals LLC as additional insured in the amount stated in the Booking Confirmation before delivery. Where the Booking Confirmation states the requirement and the certificate has not been received when Company dispatches delivery, Section 3.4 applies, unless Customer provides it before the wait period ends and Company elects to complete delivery. Company is not obligated to require or enforce a certificate for any booking, and its decision not to require or enforce one in any instance is not a waiver under Section 9.4.
SECTION 7 — SERVICE CHARGES
7.1 Service Charges. Company's fixed service charges are: Extension Days — the Extension Rate per day; Late Pickup (Holdover) — the Holdover Rate per day; Load Service Charge; Service Time — the Service Time Rate stated in the Booking Confirmation, per fifteen (15) minutes; Late Payment charge; Ground-Condition Delay Day — the Extension Rate per day (up to 5 days per booking); and Ground-Condition Rescheduling Charge (reschedule extension fee) — the Extension Rate for one day, charged as Section 3.13 provides. The amount of each of these charges (including the Extension Rate and the Holdover Rate) is shown at checkout before Customer accepts this Agreement and stated in the Booking Confirmation; the amounts in effect when the booking is made apply to that booking, and Company may change them only for later bookings. The Trip Charge is calculated per booking and stated in the Booking Confirmation. The conditions for each charge are stated below; dispatched and variable services are priced under Sections 7.2 and 7.3.
No charge applies where a service attempt fails because of Company's own equipment, staffing, or scheduling error.
-
Extension Days — the Extension Rate per day, Standard and Monthly Rentals alike, as provided in Section 2.4.
-
Late Pickup (Holdover) — the Holdover Rate per day, for each day the Dumpster remains at the Service Address beyond the scheduled pickup date where (a) Company dispatched a pickup that could not be completed because of conditions within Customer's control, or (b) an extension was not requested, not approved, or not paid under Section 2.4 and the Dumpster remained for reasons within Customer's control. Holdover does not apply to days attributable to Company's own equipment, staffing, or scheduling error, or to days excluded under Section 10.4(a) and (e), and stops accruing as provided in Section 5.3(b)(i). Where a pickup is delayed only by ground conditions, Sections 3.13(e) and (h) govern instead, and Holdover applies only as they provide (at a location to which the Dumpster was relocated in breach of Section 3.7, or for material added after the scheduled pickup date or watering or washing after notice). Holdover charges accrue through the earlier of actual recovery or the date the Dumpster is deemed abandoned under Section 3.8, and in no event beyond thirty (30) days from the scheduled pickup date; that limit applies to Holdover only and does not limit any other right or remedy, including Section 3.8. If the Dumpster has not been recovered within thirty (30) days after it is deemed abandoned under Section 3.8 because Customer, or a person Customer permits at the Service Address, prevents or does not allow recovery, the Dumpster is treated as lost under Section 6.1, and Customer pays its fair market value under clause (a) of that Section in addition to the amounts in Section 3.8; title to the Dumpster does not pass to Customer. Holdover is billed as provided in Section 9.3.
-
Load Service Charge, as provided in Section 5.3(a).
-
Dry Run (Failed Service Attempt) — the Trip Charge stated in the Booking Confirmation, under Section 3.4 or 3.13.
-
Other dispatched services — approved address changes and the Route Disruption Charge (Section 3.5), Dump and Return (Section 3.6), unauthorized-relocation recovery (Section 3.7), abandoned-container recovery (Section 3.8), Swaps (Section 3.10), requested relocations (Section 3.11), and remediation transport (Section 5.3) — priced at Standard Rates under Section 7.2 and disclosed through an approval-link estimate or itemized notice.
-
Overweight Loads — the scale-verified disposal differential above the estimated disposal component, under Sections 4.3 and 8.
-
Specialty Items — included at booking in the estimate under Section 8.1, subject to any quantity cap displayed at booking; actual third-party disposal costs pass through the reconciliation in Section 8.3.
-
Late Payment, as provided in Section 7.4.
-
Ground-Condition Charges — delay days and a one-time rescheduling charge (an extension fee), each at the Extension Rate, as provided in Section 3.13; towing, recovery, and repair under Section 3.13(j) are third-party costs under Section 7.3.
-
Service Time — the Service Time Rate stated in the Booking Confirmation, per fifteen (15) minutes in fifteen-minute blocks under Section 1.27, for: a wait Customer requests under Section 3.3; correction work continuing beyond the wait period under Section 5.3(a); freeing contents that will not discharge under Section 5.3(d); and cleaning under Section 6.1.
7.2 Standard Service Pricing. Trip-based and dispatched services are priced under Company's standard pricing methodology — the same methodology Company applies to every booking of that service type — using the particulars of each booking (the Service Address, the facilities used, and the trip actually performed) at Standard Rates. Charges for the same service type vary between bookings as those particulars vary. Company discloses the total amount due for each service before payment is due and, on request, the miles used to calculate it. Company's Standard Rates, internal costs, and margins are confidential and are disclosed only to an arbitrator or court resolving a dispute about a charge.
7.3 Third-Party Costs. Remediation, disposal, recovery, and other costs owed to third parties are charged at amounts actually incurred, without markup, evidenced by invoices, scale tickets, or facility receipts available on request.
7.4 Late Payment. A late charge in the amount stated under Section 7.1, or the unpaid balance if less, applies once to any invoice remaining unpaid fifteen (15) days after its due date. Unpaid balances also bear simple interest at six percent (6%) per year from the due date until paid; interest does not accrue on late charges or on other interest. An amount is due on the earliest of the date Company transmits the invoice or itemized notice for it under Section 9.3 or, for an approval-link estimate, the date Customer approves it, or the date a card-on-file charge for it is declined; an estimate Customer has not approved is never due. No late charge or interest accrues while a good-faith written dispute of that amount is pending under Section S.3(a), S.4, or 3.13(j), until Company's written response. Company may collect unpaid balances under Section 9.3 and by any other lawful means.
7.5 No Penalty Construction; Agreed Service Prices. The charges in Section 7.1 (other than towing, recovery, and repair under item 9 and Section 3.13(j), which are third-party costs under Section 7.3), and the Trip Charge charged or retained under Sections 3.4, 3.5(e), 3.13, and 9.1, are the agreed prices for the discrete services performed and capacity committed — dispatch, driver travel, on-site waiting and assessment, customer communication, schedule adjustment, and extended possession — and are not penalties. Extension and delay days are the price of the Dumpster and route capacity committed to Customer for those days; Holdover is the price of continued possession and reactive rescheduling, and is higher than an Extension Day because it is not planned: an Extension Day is capacity Customer reserves in advance, which Company can schedule around, while during Holdover the Dumpster and route capacity may already be committed to other customers, other bookings may have to be moved or declined, and the pickup must be re-planned. Customer can avoid Holdover entirely by requesting an extension under Section 2.4 or by having the Dumpster ready for pickup on the scheduled pickup date. To the extent Holdover is treated as compensation for Customer's keeping the Dumpster beyond the Rental Period rather than as a price, it is the parties' liquidated estimate of that loss, whose amount is, from the nature of the case, impracticable or extremely difficult to fix with precision (15 O.S. § 215(A)); the Load Service Charge and Service Time are the price of the driver's and truck's time committed to that work. Where a Trip Charge is retained on a cancellation under Section 9.1 before Company dispatched the trip, it is not a price for travel performed; it is the parties' liquidated estimate of Company's loss from the truck, driver, and route slot committed to Customer for that day, which cannot then be offered to another customer and whose amount is, from the nature of the case, impracticable or extremely difficult to fix with precision (15 O.S. § 215(A)). Customer and Company acknowledge that (a) the actual costs to Company of those services, including their effects on other scheduled customers, are from the nature of the case impracticable or extremely difficult to fix with precision; (b) each charge reflects a reasonable pre-estimate of the cost of the service performed or capacity committed, agreed in good faith at booking; and (c) the amounts are proportionate to the services rendered. If any charge described in this Section is held unenforceable for any reason, Company's recovery for the corresponding service shall be its documented actual costs, evidenced by invoices, driver logs, and route records, and such recovery shall not be forfeited by the invalidity of the fixed charge. A cancellation after the deadline in Section 9.1 comes after Company has committed the truck, driver, and route slot for that day, which cannot then be offered to another customer. The late charge and interest in Section 7.4 are not prices for services: the late charge is the parties' agreed estimate of Company's costs of monitoring, notifying, and collecting a late account, which from the nature of the case are impracticable or extremely difficult to fix (15 O.S. § 215(A)), and interest accrues at six percent (6%) per year, the same as Oklahoma's legal rate (15 O.S. § 266).
SECTION 8 — ESTIMATE, DISPOSAL, AND RECONCILIATION
8.1 Upfront Estimate.
(a) Standard Rentals. At booking, Customer is given an Estimated Full-Load Total for the selected waste type(s), consisting of (i) the disposal component — the cost of the Type Maximum at the disposal facility rates known at booking; and (ii) the travel component — mileage and labor at Standard Rates to the disposal facility corresponding to each tier. Company estimates the weight and volume tiers the booking system displays, up to the Type Maximum, at the cheapest lawful disposal facility available for the selected waste type(s) at the rates known at booking. Customer is charged the HIGHER of the weight-maximum and volume-maximum tier totals, which is the Estimated Full-Load Total, reflecting the facility used for that tier (the "EMT facility"). The Estimated Full-Load Total — the tier amount plus delivery, pickup, and rental-period charges — is charged at booking. An estimated weight or volume Customer enters (whether or not taken from Company's load estimator) is Customer's good-faith estimate and is used only for advance route planning; the disposal facility is selected at pickup under Section 8.2 on Company's assessment of the load, a difference between Customer's entry and the actual load is not a breach by Customer, and Customer's entry does not by itself increase any amount Customer owes. The Estimated Full-Load Total is always calculated and charged at the Type Maximum, and disposal is settled through the Section 8.3 reconciliation. Changes in facility rates before disposal are handled by the reconciliation in Section 8.3. The Estimated Full-Load Total is an estimate, not a maximum charge; the final amount is determined under Section 8.3 and may be higher or lower. Taxes are added under Section 8.9.
(b) Monthly Rentals. For a Monthly Rental, the Estimated Full-Load Total charged at booking consists of the monthly rental fee, the delivery trip, and the final pickup trip with one disposal at the Type Maximum; that disposal is reconciled under Section 8.3. Each additional pickup and disposal during the term — every Dump and Return and every Swap — is estimated under this Section when it is scheduled, at the Standard Rates recorded at booking (Section 1.23), transmitted with a single-use approval link, charged before dispatch, and reconciled as a separate disposal event under Section 8.3(e).
(c) Itemized Lines. The booking system may show the Estimated Full-Load Total divided into lines, such as the delivery trip, the pickup and empty-out, the estimated disposal, the rental fee, and extra rental days. Those lines show how the single price for the whole booking is divided, including how Company's minimum service charge for the booking is shared between the trips; because that minimum applies once to the whole booking, a line may carry little or none of it. The lines are not prices for any trip or service performed on its own. Whenever Company charges for a trip on its own — a Dry Run on any delivery, pickup, or other service attempt that cannot be completed because of a condition within Customer's control under Section 3.4, a late cancellation under Section 9.1, a declined late address change under Section 3.5(e), a Trip Charge retained, where Section 3.13 provides, on a cancellation or withdrawal under Section 3.13(f) or (g), or any other case in which a trip to the Service Address is charged on its own — the Trip Charge stated in the Booking Confirmation applies. The Trip Charge is priced as a standalone trip with its own minimum service charge and may be more than the delivery-trip line or the pickup line.
8.2 Basis Record and Pickup Assessment. For each booking, Company records in the Basis Record the selected waste type(s) and Specialty Items; the Type Maximum and Specialty Item caps displayed; the weight- and volume-tier estimates; the disposal facilities and rates used for each tier; the travel components; the Standard Rates, fuel index value, and facility rate data in effect at booking, with timestamps; the versions of each document presented, including the Waste Types Addendum and Schedule A-1; any written pre-loading inquiry and response; the Dumpster's documented condition at delivery; and the placement surface, Backup Location, Customer Routes, and Marked No-Go Areas stated, the ground-conditions and marked-areas acknowledgments in the Agreement and Certifications box, any arrival photographs showing Physical Marks or their absence, each determination, approval, choice, notice given by telephone, and ground-condition check under Section 3.13, and the path driven on the Service Address property (tire-track photographs, and any GPS track). At pickup, Company assesses the approximate weight and volume of the load using its best good-faith judgment informed by industry-standard sources (including EPA weight and volume conversion factors), to identify, through reasonable good-faith efforts, a lawful disposal option selected for lowest total cost based on the load as assessed. Company does not guarantee that the facility ultimately used is the lowest-cost lawful facility for the load as finally weighed. The scale ticket records the actual weight, and that record, together with the facility's actual rates, is the basis of the reconciliation, subject to correction where a documented scale, ticketing, or data-entry error is shown. Where Company's assessment at pickup indicates that the load exceeds the Type Maximum or Company's lawful operating weight, that is grounds for refusal under Section 4.3.
8.3 Reconciliation. After final disposal, the booking is settled in the following components:
(a) Travel Component — Pre-Assigned Credits. At booking, Company pre-assigns a credit to each facility estimated at booking other than the EMT facility, equal to the difference between that facility's estimated travel components and the travel components of the Estimated Full-Load Total. Where the facility actually used differs from the EMT facility, the pre-assigned amount for that facility is applied. It is usually a credit; where a facility estimated at booking was used because its lower disposal cost made the total less expensive, its higher travel figure offsets the resulting disposal refund in the net settlement under subsection (c). Pre-assigned credits are fixed at booking and are not affected by route, fuel, or facility changes after booking, except as recalculated for a relocation under Section 3.11. If the facility actually used was not estimated at booking, its travel components are calculated on the standalone basis in Section 8.6 using the Standard Rates recorded at booking.
(b) Disposal Charge — Actual Facility Cost. The disposal charge equals the actual amount charged by the facility used, including any facility-imposed taxes, fees, or surcharges, as evidenced by the scale ticket or facility receipt. Where the actual disposal cost is lower than the disposal component of the Estimated Full-Load Total, Customer is refunded the difference; where it is higher, the difference is charged to Customer, except that a facility rate increase taking effect after the load was collected is not charged where disposal was delayed more than five (5) Business Days after collection for reasons within Company's control.
(c) Net Settlement. The travel credit and any disposal variance are netted against each other, and against any other amounts owed on the booking, so that a single refund or charge results. Any disposal overage offsets the travel credit first; any remaining amount owed is charged under Section 9.3, subject to Section 8.8. A net credit is refunded to Customer's original payment method within thirty (30) days after final disposal. Company may waive any variance charge in its discretion; a waiver creates no refund entitlement and, under Section 9.4, waives nothing in any other instance.
(d) Waste-Type Changes Void All Tier Estimates. If material of a waste type not selected at booking is present, the tier estimates, facility assignments, and pre-assigned credits for the services affected are void and recalculated under Section 8.5.
(e) Multiple Disposal Events. Each Dump and Return and each Swap is a separate disposal event with its own estimate, disposal component, and scale ticket, reconciled separately. The resulting amounts are then netted with the booking's final settlement under subsection (c).
(f) Mid-Rental Services. A Dump and Return, Swap, or requested relocation under Section 3.11 is estimated at the time it is requested, using the Standard Rates recorded at booking (Section 1.23), is transmitted with a single-use approval link, and is charged at its estimate (for a Dump and Return or Swap, at the Type Maximum for the load). Its travel component is settled as under subsection (a) and the closing paragraph of this Section, reading subsection (a)'s references to the EMT facility and to the facilities estimated at booking as references to the facility charged in that service's estimate and the other facilities estimated for it. The disposal component is not capped in either direction; it is passed through against the scale ticket for the facility used, so a load above the tier charged is billed the difference and a load below it is credited the difference, as under subsection (b). Where the service is recalculated under Section 8.5, the superseded estimate is retained and travel is settled against the estimate then in force.
(g) Interim Storage at the Yard. Where Company collects a load but no facility able to receive it is open when the load reaches it, or where holding the load reduces the cost of Company's route, Company may return the Dumpster to the Yard, keeping the load covered and contained, and complete disposal on the next Business Day on which a facility able to receive the load is open. The pre-assigned travel credit for the facility used is applied in full as though the load had gone directly from the Service Address, and the additional mileage and labor arising from the interim storage are borne by Company and not charged to Customer. Disposal is passed through under subsection (b) against the scale ticket.
Charges arising under this Section include, without limitation: differences between assessed and scale-verified weight or volume; facility rate increases after booking; facility closure or refusal of the load; material-type changes or undeclared Specialty Items under Section 8.5; and any other circumstance in which Company selected the facility used through reasonable good-faith efforts based on the load as assessed. Where Company routes a load to a materially more expensive facility for reasons unrelated to the load, its condition, or lawful facility availability, Company bears the resulting difference rather than charging it to Customer.
8.4 Coverage. Charges arising from loads exceeding the Type Maximum, prohibited materials, or other breaches are governed by Sections 4, 5.3, and 7 and are not part of the Section 8.3 reconciliation, except that assessed charges offset credits in the final settlement. Where Company elects under Section 4.1 to collect Unacceptable Materials, the collected load is recalculated and reconciled under Sections 8.5 and 8.3 in the ordinary way; charges for the breach itself remain governed by this Section.
8.5 Material Type Changes. If material of a waste type not selected at booking, Specialty Items beyond the declared quantity, or Unacceptable Materials that Company has elected to collect under Section 4.1, are present, all tier estimates, facility assignments, and pre-assigned credits for the affected services are void, and those services are recalculated based on the material actually present and the applicable facility, with the difference charged or credited and notice under Section 8.7. Recalculation applies only to services not yet performed: (a) before delivery, the entire booking; (b) after delivery and before pickup, the pickup trip (Yard, Service Address, disposal facility, Yard) and disposal; and (c) at pickup, the trip from the Service Address to the disposal facility and back to the Yard, and disposal. Services already performed are not recalculated.
Refused Loads. If a disposal facility refuses the load because it contains material that the waste type(s) and Specialty Items declared for the load do not permit, or material prohibited under Section 4.1(a)–(e), Customer pays any fee the refusing facility charges and the additional travel the refusal causes: the route actually driven — from the Service Address to the refusing facility, on to a facility that accepts the load (or, where none will that day, to the Yard, after which Section 4.2 applies), and on to the end of the trip — less the route for that trip already included in Customer's estimate, both at Standard Rates under Section 1.23, so that no travel is charged twice, with notice under Section 8.7 including the facility's refusal record where one is issued. Customer does not pay these amounts where declared, permitted material was refused only because Company routed it to a facility not permitted to receive it. A refusal because the facility will not accept Customer's refrigerant or asbestos certification, or because the material does not match it, is a refusal for material the booking does not permit. Disposal is passed through under Section 8.3(b).
8.6 Fixed Charges; Standalone Estimate Methodology; Route Optimization. Rental-period, delivery, and pickup charges are fixed prices and are not reconciled. All estimates and reconciliation amounts are calculated on a standalone-service basis at Standard Rates; the only quantities compared against live records are the facility actually used, its verified rates, and the scale-verified weight of the load. Savings Company achieves by sequencing, consolidating, or otherwise optimizing multi-customer routes are retained by Company and are not subject to refund, credit, or reconciliation — except the Route Disruption Charge under Section 3.5(c), which is measured against Company's actual scheduled route.
8.7 Notification of Variances. Before or when Company charges any variance or recalculation amount, Company will send Customer an itemized notice with the scale ticket or facility receipt and, for material-type recalculations, photographs of the load.
8.8 Fuel Surcharge; Emergency Pricing Compliance.
Fuel Surcharge. Company's estimated full-load totals incorporate a fuel-cost buffer, and fuel price fluctuations within that buffer are absorbed by Company. If the price on the fuel-price index identified in the Booking Confirmation, when Company reviews the booking before delivery, exceeds the Fuel-Cost Basis (inclusive of the buffer) by any amount, Company MAY, at its sole discretion, assess a Fuel Surcharge equal to Company's documented incremental fuel cost for the delivery and pickup legs. Any Fuel Surcharge is presented for approval through a single-use link before it is charged and before delivery proceeds. If Customer declines, Customer may cancel at no further charge (Company retains only any Trip Charge owed for an earlier failed attempt under Section 3.4 or 3.13, and refunds any rescheduling charge under Section 3.13(i)) or reschedule to a later available date, and any amounts already charged for services not yet performed will be refunded. If Customer reschedules after declining, this Section applies again to the new date. If Company moves the delivery date (Sections 2.6, 3.4 or 10.4), the fuel cost used is never higher than the one in effect on the delivery date scheduled before Company's first move.
Emergency Pricing Compliance. While the Oklahoma Emergency Price Stabilization Act (15 O.S. §§ 777.1 et seq.) applies to a Service Address, Company will not increase the labor, minimum service-charge, or other non-cost components of its Standard Rates for that address above those in effect immediately before the emergency declaration. Any change in Company's charges for services at that address during that period — including the Estimated Full-Load Total of a new booking, any variance, and any Fuel Surcharge — will reflect only documented changes in Company's costs, including fuel as measured by the published index identified in the Booking Confirmation and Basis Record and third-party disposal and facility charges, and will not exceed the limits permitted by the Act. Company will retain documentation sufficient to show compliance and produce it as required by law or in any dispute.
8.9 Taxes; Exemption Claims.
(a) Taxes. Company adds applicable state and local sales and use taxes to its charges, including extension, holdover, service, and variance charges, as required by law, sourced to the Service Address. Refunds and credits include the tax collected on the refunded amount. Company determines taxability in good faith, and any tax collected in error will be refunded or remitted as the law requires.
(b) Exemption Claims. Where Customer claims exemption from sales or use tax at booking, Customer must identify the exempt entity, the basis for the exemption, and the exemption permit or certificate number, and must certify the claim at booking. Customer certifies, knowing that Company will rely on the certification and furnish it to the Oklahoma Tax Commission, and that a knowingly false certification is cause for termination under Section 9.5(e) and may be penalized under Oklahoma tax law, that each statement made in the exemption claim is true and correct; that the entity named holds valid exemption documentation under the permit or certificate number given; and that this rental qualifies for exemption under Oklahoma law. Customer shall upload a legible copy of the exemption permit, letter, or certificate at booking. Company may decline any exemption claim in its sole discretion and may require documentation before delivery; where Company declines the claim or the documentation is not provided, tax is charged under subsection (a) and the booking otherwise proceeds unchanged. Company's acceptance of an exemption claim is not a determination that the exemption is valid and is made in reliance on Customer's certification alone.
(c) Disallowed or Invalid Exemptions. If an exemption Customer claimed is disallowed, expired, revoked, inapplicable, or otherwise found invalid — by the Oklahoma Tax Commission, any other taxing authority, or Company on later review — Customer shall pay Company the tax that should have been collected, together with all interest, penalties, and assessments imposed on Company on account of the claim, and all reasonable costs of responding to any audit, assessment, or proceeding arising from it, including accounting and attorney's fees. The tax, interest, penalties, and assessments are charged under Section 9.3 to the payment method on file; costs of responding to an audit, assessment, or proceeding (including accounting and attorney's fees) are invoiced and are charged to the payment method on file only after Customer agrees to them in writing or they are fixed by a decision under Section S.3. These amounts are agreed charges and direct damages rather than penalties, and are not limited or excluded by Section 10.1. Customer's obligations under this subsection survive the completion, cancellation, or expiration of the booking for as long as the applicable taxing authority may assess the tax.
(d) Indemnity; No Liability to Customer. Customer shall defend, indemnify, and hold harmless Company and its personnel, under Section 10.3 and in addition to it, from every claim, assessment, tax, interest, penalty, fine, audit cost, and expense arising from an exemption claim Customer made — including a claim that is inaccurate, unsupported, made without authority, or made using another entity's exemption documentation. Company is not liable to Customer for any tax, interest, penalty, or other loss arising from Company's reliance on Customer's exemption claim, from a claim Company declines, or from tax Company collects where no exemption was claimed at booking; tax collected in error is refunded under subsection (a) where Company has not remitted it or receives a refund or credit for it; otherwise Customer's remedy is a refund claim to the taxing authority as the law permits. A knowingly false exemption certification is a knowingly false certification for the purposes of Section 9.5(e).
SECTION 9 — CANCELLATION, EARLY TERMINATION, AND CHARGES
9.1 Cancellation Before Delivery (All Rentals).
CUSTOMER MAY CANCEL BY WRITTEN NOTICE. IF THE NOTICE IS SENT BY 2:00 P.M. CENTRAL ON THE LAST BUSINESS DAY BEFORE THE SCHEDULED DELIVERY DATE, COMPANY REFUNDS ALL AMOUNTS PAID (EXCEPT ANY TRIP CHARGE OWED FOR AN EARLIER FAILED ATTEMPT UNDER SECTION 3.4 OR 3.13 AND ANY GROUND-CONDITION RESCHEDULING CHARGE UNDER SECTION 3.13(i) UNLESS THAT SECTION PROVIDES FOR ITS REFUND), LESS THE PAYMENT-PROCESSING FEE COMPANY'S PROCESSOR ACTUALLY RETAINED ON THE ORIGINAL CHARGE. IF SENT AFTER THAT DEADLINE AND BEFORE DELIVERY, COMPANY RETAINS THE TRIP CHARGE, ANY TRIP CHARGE OWED FOR AN EARLIER FAILED ATTEMPT UNDER SECTION 3.4 OR 3.13, AND ANY GROUND-CONDITION RESCHEDULING CHARGE UNDER SECTION 3.13(i) (EXCEPT WHERE THAT SECTION PROVIDES FOR ITS REFUND), AND REFUNDS THE BALANCE. AFTER A FAILED DELIVERY ATTEMPT OR A NOTICE THAT COMPANY WILL NOT ATTEMPT DELIVERY, SECTIONS 3.4(d) AND 3.13 APPLY INSTEAD, AS THE NEXT PARAGRAPH STATES. AFTER DELIVERY, NO CANCELLATION REFUND IS AVAILABLE; REFUNDS ARISE ONLY UNDER THE SECTION 8 RECONCILIATION OR AS THIS AGREEMENT OTHERWISE EXPRESSLY PROVIDES.
Sections 2.5 and 9.2 govern early pickup and early termination after delivery. After a failed delivery attempt, or a notice under Section 3.13(c) that Company will not attempt a delivery (other than a decision made on Customer's report alone, which Section 3.13(c) makes a cancellation under this Section measured from the originally scheduled delivery date), a cancellation sent before a new delivery date is confirmed in writing (by Customer's acceptance under Section 3.13(f), including an acceptance made in person or by telephone, which counts from when it is made, or by Company's confirmation under Section 3.4(b)) is a cancellation under Section 3.4(d) (and Section 3.13, where it applies), not a cancellation after the deadline under this Section, and no additional Trip Charge is retained for it. A cancellation that Section 3.13(f)(F) or 3.13(i) makes a timely cancellation under this Section is refunded as one, whenever it is sent. No processing fee is retained where Company cancels under Section 9.6, or where Customer cancels after Company moves the delivery date under Section 2.6 or 10.4.
9.2 Monthly Rentals — No Proration. Subject to Section 9.1 before delivery, Monthly Rental charges are calculated on the full term regardless of actual usage. NO REFUND OF RENTAL-PERIOD CHARGES IS AVAILABLE FOR EARLY TERMINATION OR EARLY PICKUP WITHIN THE TERM, subject to the reconciliation under Section 8.
9.3 Card-on-File Charges. CUSTOMER AUTHORIZES COMPANY TO CHARGE CUSTOMER'S PAYMENT METHOD ON FILE for charges, variances, estimates Customer approves, and adjustments arising under this Agreement, as described in the Electronic Consent & Payment Authorization. For any charge Customer has not approved through an approval link, Company sends an itemized notice with supporting documentation, at or before the time the payment method on file is charged. Holdover charges are billed for each completed seven (7) calendar days of Holdover, counting from the first Holdover day, and any remaining days are settled at pickup in the final settlement under Section 8.3(c). Company sends the itemized notice for any charge made after pickup within one hundred twenty (120) days after final disposal for the booking (or, where the Dumpster is not recovered, after the end of the Rental Period). Where a third party has not yet invoiced Company, a notice with a written estimate and the supporting documentation then available meets this deadline; that amount is charged only once invoiced and never exceeds the estimate by more than fifteen percent (15%). After that period, Company may not charge the payment method on file for an amount not so noticed without Customer's further written authorization, but may invoice it and collect it by other lawful means. The 120-day limit in this paragraph does not apply to: (a) charges under Section 3.13(j), which are governed by the notice periods in that subsection; (b) amounts under Section 8.9(c); (c) late charges and interest under Section 7.4 on an amount noticed in time; (d) an amount noticed in time whose charge was declined or reversed through a card dispute; (e) amounts from a claim, fine, assessment, or cleanup order by a third party or government authority, which Company notices within one hundred twenty (120) days after receiving it; or (f) amounts from a condition Customer concealed or misrepresented. A card dispute or reversal does not cancel or reduce any amount owed. Customer authorizes Company to give the card issuer and payment processor this Agreement, the Booking Confirmation, Customer's electronic-signature and acceptance records, and the Basis Record in response to a dispute. Where a dispute of a charge this Agreement authorizes is decided in Company's favor or withdrawn, Customer also pays the dispute fee Company's processor actually charged.
9.4 Waivers. Any waiver of any term of this Agreement must be in writing signed by an authorized representative of Company. No course of dealing waives any term. Company's decision not to exercise a discretionary right, or to grant a goodwill credit or waive a charge, in a particular instance is not a waiver of that right in any other instance.
9.5 Termination for Cause. Company may end the Rental Period by written notice and pick up the Dumpster at the next available opportunity if Customer: (a) relocates the Dumpster without consent or in a manner creating a hazard; (b) burns material in or near it; (c) permits third-party compaction or uses machinery in breach of Section 6.4; (d) places Hazardous Materials in it; (e) makes a knowingly false representation or certification under Section 4.5, 4.6, 6.2, or 8.9, or provided materially false identity, contact, or payment information for the booking (Terms of Service Section 1.3); (f) fails to maintain a valid payment method and does not cure within two (2) Business Days after notice of a declined charge, or fails to pay, within two (2) Business Days after notice, an amount that remains owed after Customer's card issuer reversed the charge for it (an amount Customer disputes in good faith under Section S.3(a), S.4, or applicable law is not owed for this purpose while the dispute is pending); (g) permits a condition that makes continued placement unsafe or unlawful; or (h) threatens, harasses, or assaults Company personnel, or physically interferes with Company's performance of services. Termination does not entitle Customer to a refund of rental-period charges (Section 2.5); pickup proceeds under Section 5.3; reconciliation under Section 8 continues; and Customer remains liable for all charges accrued. This right is in addition to Company's other remedies.
9.6 Company Cancellation Before Delivery. Company may cancel any booking before delivery for any reason, including suspected fraud, misuse, or conduct detected by Company's systems, by notice and refund of all amounts paid. A cancellation by Company under Section 3.13(f)(F) after a second or later delivery attempt fails only because of ground conditions is not a cancellation under this Section; it is refunded as Sections 3.4(d) and 3.13(i) provide.
SECTION 10 — LIMITATION OF LIABILITY; INDEMNIFICATION; FORCE MAJEURE; WARRANTIES
10.1 Limitation of Liability.
(a) General Cap. EXCEPT AS PROVIDED IN SUBSECTION (b) AND SECTION 10.2, THE TOTAL LIABILITY OF COMPANY AND ITS MEMBERS, MANAGERS, EMPLOYEES, DRIVERS, AND SUBCONTRACTORS (THE "COMPANY PARTIES") ARISING FROM THIS AGREEMENT, THE SERVICES, OR THE DUMPSTER, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, IS LIMITED TO THE AMOUNTS ACTUALLY PAID BY CUSTOMER UNDER THE AFFECTED BOOKING.
(b) Property Damage. THE COMPANY PARTIES' LIABILITY FOR DAMAGE TO CUSTOMER'S REAL OR PERSONAL PROPERTY CAUSED BY THE NEGLIGENCE OF COMPANY OR ITS SUBCONTRACTORS IS LIMITED TO THE GREATER OF THE AMOUNTS ACTUALLY PAID UNDER THE AFFECTED BOOKING OR TEN THOUSAND DOLLARS ($10,000). COMPANY'S RESPONSIBILITY UNDER SECTION 3.13(j) FOR DAMAGE A RECOVERY CAUSES TO A MARKED NO-GO AREA ENTERED WITHOUT CUSTOMER'S CONSENT IS LIMITED AS THAT SUBSECTION PROVIDES (THE SAME LIMIT, WHETHER OR NOT COMPANY WAS NEGLIGENT, AND ONLY WHERE THAT AREA WAS PHYSICALLY MARKED), NOTWITHSTANDING SUBSECTION (a). THE COMPANY PARTIES AND COMPANY'S RECOVERY PROVIDERS HAVE NO LIABILITY FOR DAMAGE TO A BELOW-GROUND ITEM THAT SECTION 3.13(b) EXCLUDES, INCLUDING DAMAGE CAUSED BY THEIR NEGLIGENCE, EXCEPT AS SECTION 10.2 PROVIDES. COMPANY HAS NO LIABILITY FOR COSMETIC MARKS UNDER SECTION 3.1.
(c) Excluded Damages. NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST BUSINESS, LOST PROFITS, OR PROPERTY DEPRECIATION, EXCEPT AS PROHIBITED BY LAW.
(d) Customer's Obligations. Amounts payable by Customer under Sections 2.4, 2.7, 3.4, 3.5, 3.7, 3.8, 3.9, 3.13, 4, 5, 6, 7, 8, and 9, Customer's obligations under Section 10.3, and Customer's liability for damage to Company's vehicles, equipment, or the Dumpster (including towing, recovery, repair, substitute equipment, and loss of use, subject to Section 3.13(j)) are agreed prices or direct damages and are not limited or excluded by this Section.
10.2 Carve-Outs. The limitations in Section 10.1 do not apply to: (a) death or bodily injury caused by Company's negligence; (b) gross negligence or willful misconduct; (c) fraud, willful injury, or violation of law, to the extent 15 O.S. § 212 prohibits limitation; (d) other liability that cannot be limited under Oklahoma law; or (e) Customer's statutory consumer rights that cannot be waived.
10.3 Indemnification. Customer shall defend, indemnify, and hold harmless Company and its personnel from, and pay reasonable attorney's fees and costs for, third-party claims, fines, citations, and penalties arising from (a) Customer's breach of this Agreement; (b) materials placed in the Dumpster during the Rental Period; (c) the placement location Customer designates, including placement under Section 3.9; (d) the acts of persons Customer permits at the Service Address; or (e) use of, loading of, climbing on, or entry into the Dumpster during the Rental Period by any person other than Company personnel — except, in each case, to the extent caused by the negligence or willful misconduct of Company or its subcontractors or by a defect in the Dumpster. Company will give Customer prompt notice of any claim; a delay in that notice relieves Customer only to the extent the delay materially prejudices the defense. Customer may not settle a claim that imposes obligations on Company without Company's consent. This Section does not waive any right Customer cannot waive under Oklahoma law.
10.4 Force Majeure; Reschedule Process. Neither party is liable for delays caused by events beyond its reasonable control, including severe weather, natural disasters, epidemic or public-health orders, government orders, road closures, and civil disturbances. Force majeure does not excuse Customer's payment obligations or charges for continued possession of the Dumpster, except for days on which Company's operations are suspended under this Section. Ground conditions at a placement location or access route are governed by Section 3.13; weather affecting them is a force majeure event only on a day Company suspends operations under this Section. Company suspends operations for a day when, in its reasonable judgment, weather makes travel on the public roads generally used for that day's scheduled stops unsafe, or makes service unsafe generally across that day's scheduled stops for a reason other than ground conditions at their placement locations or access routes, and so notifies affected customers under subsection (b); where weather makes the roads to only some stops unsafe, Company may instead reschedule those stops under Section 2.6 at no charge without suspending operations; ground conditions at placement locations or access routes (however many of that day's stops they affect), and decisions under Section 3.13(c), do not by themselves require suspension. A suspension applies to all customers scheduled that day, and Company does not decline to suspend in order to charge a Dry Run.
- (a) No-Charge Rule. Company-initiated reschedules under this Section trigger no charge: no Dry Run, Holdover, or Extension charge applies to any day or service affected solely by a force majeure event.
- (b) Notification. Company will notify Customer by text (where Customer has opted in) and email as soon as practicable, stating the reason, the new date, and that the reschedule is at no charge. The rescheduled booking is automatically confirmed for the new date unless Customer contacts Company to arrange a different available date.
- (c) New Date. The rescheduled date will be Company's next available Business Day that satisfies route feasibility.
- (d) Suspended Deadlines. Any Customer deadline under this Agreement that expires during days Company's operations are suspended is extended by the number of suspended days.
- (e) No Charges During Disruption. No Holdover or Dry Run charge accrues for any delay in Company's performance caused by a force majeure event. Holdover resumes only once Company's operations resume and Customer declines or prevents the rescheduled service; Holdover under Section 3.13(h) for added material or watering resumes when Company's operations resume.
- (f) Customer Cancels or Declines Rescheduled Delivery. If a delivery is rescheduled under this Section, Customer may cancel the booking at any time before the rescheduled delivery by written notice. If Customer instead declines every rescheduled delivery date offered and does not accept an alternative within three (3) Business Days of Company's written notice of a proposed date, the booking is treated as cancelled. In either case, Company will refund all amounts paid except any Trip Charge owed for an earlier failed attempt under Section 3.4 or 3.13, with no processing fee retained.
- (g) Customer Declines Rescheduled Pickup. Customer's declination of a rescheduled pickup date is not a cancellation. Company will continue to offer available dates, and Holdover resumes under subsection (e) once Customer declines or prevents the rescheduled service. Company may, after documented attempts to schedule pickup, exercise its rights under Sections 3.8 and 9.5.
10.5 Disclaimer of Warranties. EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT, COMPANY PROVIDES THE DUMPSTER AND SERVICES "AS IS" AND DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. This Section does not limit Company's liability under Section 10.2.
SUPPLEMENTAL PROVISIONS
S.1 Consumer Review Rights. Customer may publish reviews and ratings freely. Nothing in this Agreement restricts Customer's right to publish honest reviews of Company's services, and Company will not condition any right or obligation under this Agreement on refraining from publishing reviews or ratings, consistent with the federal Consumer Review Fairness Act.
S.2 Governing Law; Severability; Entire Agreement; Order of Precedence; Survival; Assignment. This Agreement is governed by the laws of the State of Oklahoma, without regard to conflict-of-law principles, except that Section S.3 is governed by the Federal Arbitration Act. If any provision is held unenforceable, the remaining provisions continue in full force, and the provision is reformed to the minimum extent necessary to make it enforceable, preserving the parties' intent to the maximum lawful extent. In particular, if any release, assumption of risk, or exclusion of Company's liability for its negligence (including in Sections 3.1, 3.13(b), 3.14(e), and 10.1(b)) is held unenforceable, Company's liability for that damage is limited as Section 10.1(b) provides, subject to Section 10.2. This Agreement, together with the Waste Types Addendum and Schedule A-1 presented at booking, the Electronic Consent & Payment Authorization, the Terms of Service, the Booking Confirmation, each approval-link estimate Customer approves, and the terms of any promotional offer applied to the booking, all as archived in the booking records, constitutes the entire agreement regarding the Dumpster rental. For booking-specific terms (dates, prices, Type Maximum, and the Trip Charge), the Booking Confirmation and approved estimates control. Otherwise, this Agreement controls over the other documents, except where a Waste Types Addendum or its Schedule specifically addresses the matter, and except that the Terms of Service control use of the Site unrelated to a booking. The Privacy Policy describes Company's information practices and is not a term of this contract. Termination, completion, expiration, or abandonment of a booking does not affect provisions that by their nature survive, including payment obligations and Sections 1.21 through 1.23, 3.8, 3.12, 3.13(h) and (j), 4, 5.3(c), 6, 7, 8, 9.3, 9.4, 9.5, 10, and S.1–S.4. This Agreement binds and benefits the parties and their heirs, personal representatives, successors, and permitted assigns. Customer may not assign this Agreement without Company's written consent. Company may assign its rights and obligations in connection with a sale of all or substantially all of its business, with notice to Customer. Company may assign amounts owed to it and delegate performance to subcontractors.
S.3 Dispute Resolution.
(a) Good-Faith Resolution First. Before filing any claim, the claiming party shall send written notice of the dispute to the other (to Company at support@camo-can.com; to Customer at the email address of record and any mailing address of record), describing the dispute and the relief requested, and the parties shall attempt in good faith to resolve it informally for thirty (30) days. Limitations periods are tolled during this period. Nothing in this Section S.3 prevents either party from seeking replevin of the Dumpster, or temporary or emergency injunctive relief, in a court of competent jurisdiction without first giving notice under this subsection.
(b) Small Claims Required. Any individual claim within the jurisdiction of the small claims docket of an Oklahoma district court must be brought there. Customer may file in the county where Customer resides, the county where the Service Address is located, or Wagoner County. Company may file in the county where Customer resides or where the Service Address is located. A claim properly filed in small claims may proceed in that court, including any transfer or appeal permitted by law.
(c) Arbitration of Other Claims. Any other dispute, including a dispute with any Company Party, arising out of or relating to this Agreement, the services, or the Dumpster shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules (or, where Customer is not an individual booking primarily for personal, family, or household use, its Commercial Arbitration Rules), by one arbitrator. If the AAA is unavailable or declines to administer, the parties shall agree on a substitute administrator, failing which a court shall appoint an arbitrator under 9 U.S.C. § 5. This Section S.3 is governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq. Judgment on the award may be entered in any court of competent jurisdiction. Arbitration shall take place in Wagoner County, Oklahoma, or, at Customer's election, remotely by video or written submission. Both parties agree to arbitrate on these terms, supported by reciprocal promises and equal procedural rights.
(d) Arbitration Fees. Company will pay all arbitration administrative and arbitrator fees exceeding the filing fees Customer would incur in court. Each party bears its own attorney's fees except where fees are awarded under applicable law. This subsection does not limit any statutory right to recover attorney's fees in small claims or collection proceedings.
(e) Class Action Waiver. THE PARTIES AGREE TO RESOLVE DISPUTES SOLELY ON AN INDIVIDUAL BASIS. NEITHER PARTY MAY BRING OR PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING, OR ARBITRATE AS A REPRESENTATIVE OF OTHERS.
(f) Delegation. The arbitrator has exclusive authority to resolve any dispute regarding the existence, validity, scope, or enforceability of this Section, including whether a claim is subject to arbitration, except that a court decides any dispute about the enforceability of subsections (e) and (h).
(g) Opt-Out. Customer may opt out of arbitration under this Section by emailing support@camo-can.com, through the booking's management page, or mailing notice to Roll-Out Rentals LLC, 9905 S Pennsylvania Ave. Ste A, Oklahoma City, OK 73159, within thirty (30) days after Customer first accepts any version of this Agreement containing this Section, stating Customer's name and booking reference (if any). An opt-out applies to all of that person's bookings and use of the Site, leaves subsections (a), (b), and (e) in effect, and claims not within subsection (b) then proceed in the court stated in subsection (h).
(h) Severability. If the class action waiver in subsection (e) is held unenforceable as to a dispute subject to arbitration under subsection (c), subsections (c)–(g) are void in their entirety as to that dispute, and disputes not within subsection (b) proceed in the District Court of the county where the Service Address is located or of Wagoner County. If any other part of this Section is held unenforceable, the remainder continues in force.
S.4 Invoice Disputes; Account Stated. Customer should raise any question about a charge within sixty (60) days after receiving the invoice or notice of the charge. An invoice not disputed in writing within that period is presumed accurate and accepted as an account stated. This presumption can be rebutted and does not shorten any period for bringing a claim. Before filing any claim, the claiming party must give notice and allow informal resolution under Section S.3(a). Nothing in this Section limits Customer's right to dispute a card charge with Customer's card issuer under federal law.
PRIOR BOOKINGS
Bookings made before the effective date of a revised version of this Agreement remain governed by the version presented at their booking, as archived in Company's booking records.
ACKNOWLEDGMENT
Customer acknowledges having read this Agreement — including the Important Terms notice, the small-claims and arbitration provisions and opt-out right in Section S.3, and the disclaimer of warranties in Section 10.5 — having had the opportunity to review it before booking, and having electronically signed the Electronic Consent & Payment Authorization, including the Agreement and Certifications acknowledgment (with the hazardous materials certification, the ground-conditions acknowledgment, and the marked-areas acknowledgment), and the payment authorization.

CAMO CAN / ROLL-OUT RENTALS LLC — ADDENDUM A: STANDARD WASTE TYPES
Effective Date: October 22, 2026 — Version v2026-10-22
This Addendum A, with its Schedule A-1, is the Waste Types Addendum incorporated into the Dumpster Rental Agreement ("Agreement") between Roll-Out Rentals LLC d/b/a Camo Can ("Company") and Customer, and is presented at booking. The version presented at booking controls that booking. Company offers General Waste, Limited C&D Debris, and Yard Waste for online booking. Roofing Debris is offered when Company makes it available — online when it is shown in the booking system, and otherwise by arrangement with Company. Customer may select more than one offered type for a load (a Combined Selection), governed by Section 6, except that Roofing Debris is never combined with another type (Section 4). Company does not accept heavy debris of any kind. Capitalized terms have the meanings given in the Agreement.
SECTION 1 — RULES FOR ALL WASTE TYPES
1.1 No Heavy Material — Ever. The following are prohibited in every waste type, in any quantity, with no allowance for small amounts, buckets, or residue beyond surface dust on ordinary debris: dirt, soil, sand, gravel, rock, concrete (including fence-post footings), brick, block, asphalt, stucco, plaster, stone (including slate), ceramic and porcelain tile, countertops made of stone, quartz, or cultured marble, clay and concrete roof tiles, and similar heavy dense materials. Company does not accept these materials under any waste type.
1.2 Discretionary Acceptance. If Company accepts a trivial amount of incidental heavy material in a particular instance, that is a courtesy at Company's sole discretion. It is not a tolerance, custom, course of dealing, or precedent, creates no right in any other instance or booking, and may be recorded in the Basis Record.
1.3 Consequences. Loads containing prohibited material are handled under Sections 4.2 and 5.3 of the Agreement. Where the material is an Unacceptable Material under Agreement Section 4.1 — lawful to transport, but outside what Company accepts as standard — Company may instead elect to collect the load and recalculate it under Agreement Section 8.5. Electing to collect is a decision in that instance only: it does not waive the prohibition, does not establish a tolerance, custom, course of dealing, or precedent, and does not relieve Customer of any charge arising from the material. Hazardous Materials are never collected. A load can exceed lawful weight while looking partly empty; the limits are based on weight, not appearance.
1.4 Always Prohibited. Water heaters of any kind, cast-iron tubs, railroad ties, and every item on Schedule A-1 are prohibited in every waste type.
1.5 Fill Line, Type Maximum, and Water. The load must stay below the top rim, with the rear door closed and latched, and within the Type Maximum shown at booking and in the Booking Confirmation. Unless a lower maximum is shown, the Type Maximum is 4 tons (8,000 pounds) and 14 cubic yards (level with the rim), whichever is reached first. For a Combined Selection, the lowest weight and lowest volume maximums among the selected types apply. Rain and snow add weight: water counts toward the Type Maximum, is not deducted at the scale, and is Customer's responsibility — cover the Dumpster when precipitation is expected.
1.6 Machinery. Machinery may not be used to load the Dumpster or operated in contact with it unless the Booking Confirmation states machinery use is permitted (Agreement Section 6.4).
1.7 Third-Party Compaction Prohibited. No mobile compaction, crushing, or grinding service may be used in the Dumpster (Agreement Section 6.4).
1.8 Facility Law Controls. Any material the receiving facility cannot lawfully accept is prohibited, whether or not listed here. Listing a material as accepted is not a representation that it is lawful for Customer to generate, remove, or dispose of in Customer's circumstances. Customer remains responsible for its own legal obligations, including asbestos inspection and notification, lead-based paint work practices, and refrigerant recovery. Customer is the generator of its waste. A business, farm, or other non-household Customer is responsible for determining whether its waste is hazardous waste (40 C.F.R. § 262.11) and for any asbestos inspection required before renovating or demolishing a building other than a residence of four or fewer dwelling units (40 C.F.R. § 61.145), whatever the building's age.
1.9 Older Structures. Limited C&D Debris and Roofing Debris from structures built before 1981 are subject to the asbestos screening in Agreement Section 4.6.
SECTION 2 — GENERAL WASTE
Accepted: household clutter and junk; furniture; clothing, toys, and books; plastics and cardboard; bagged, non-hazardous household trash; and general contents of garages, basements, attics, and living spaces, including estate, move-out, and rental-turnover cleanouts. Farm, shop, and oilfield items are a common trap in cleanouts: drums, tanks, and totes with any contents or residue, used-oil and fuel containers, chemical sprayers, and oilfield equipment or fluids of any kind are never accepted (Schedule A-1) — ask under Section 8 before loading anything you are unsure of.
Select another type as well if the load includes: construction or remodel debris (Limited C&D Debris) or yard waste (Yard Waste). Appliances, tires, mattresses, electronics, and dried paint must be declared as Specialty Items (Section 7).
SECTION 3 — LIMITED C&D DEBRIS
Common, lightweight construction and remodel debris. Nothing heavy, no masonry, no tile, no roofing.
Accepted: framing lumber, studs, plywood, OSB, trim, and molding, including pressure-treated lumber; drywall and plasterboard sheet goods (for structures built before 1981, with joint compound or wall or ceiling texture only if tested asbestos-free); batt insulation; interior and exterior doors; windows; cabinets and vanities; laminate countertops; carpet and pad; vinyl, laminate, and wood flooring, and underlayment (for structures built before 1981, vinyl and asphalt floor tile, sheet vinyl, and their mastic only if tested asbestos-free); vinyl, wood, and metal siding, and fiber-cement siding (for structures built before 1981, only if tested asbestos-free); deck boards; wood, vinyl, and chain-link fencing with all concrete footings removed; porcelain toilets and sinks (up to 2 toilets and 2 sinks per booking; any more are Unacceptable Materials under Agreement Section 4.1); acrylic, fiberglass, and steel-enamel tubs and showers; light fixtures (fluorescent fixtures only with all tubes and ballasts removed); piping, wiring, and ductwork; and construction packaging.
Not accepted: everything in Section 1.1 (including tile, stone, quartz, or cultured-marble countertops, plaster, stucco, and fence-post footings); cast-iron tubs; mortar-set shower bases; roofing materials (see Section 4); liquid paint; railroad ties; and hazardous materials of any kind.
SECTION 4 — ROOFING DEBRIS (WHEN OFFERED)
Roofing Debris may be selected only when Company offers it — online when it is shown in the booking system, and otherwise by arrangement with Company. Its Type Maximum is shown at booking (never more than 10.5 cubic yards, about three-quarters full).
Single-type load. Roofing Debris is booked only by itself. It is never part of a Combined Selection, and a Roofing Debris load may not contain material of any other waste type. Material of another type found in a Roofing Debris load is handled under Agreement Sections 4.1 and 8.5.
Accepted: asphalt and fiberglass shingles, rolled roofing, felt and underlayment, wood shakes, ridge vents, flashing, gutters, and wood roof decking.
Not accepted: clay, concrete, and slate roof tiles; gravel ballast and built-up gravel roofing; brick chimneys, mortar, and masonry; and roofing materials containing asbestos.
SECTION 5 — YARD WASTE
Accepted: brush, branches, limbs, leaves, grass clippings, garden plants, shrubs, hedge trimmings, and untreated wood mulch.
Conditions: load loose where practicable; bagged material must be in compostable or easily emptied bags.
Not accepted: sod; stumps or root balls with soil attached; dirt, sand, gravel, rock, and edging stones; landscape fabric; and treated lumber (select Limited C&D Debris for pressure-treated lumber).
SECTION 6 — COMBINED SELECTIONS
6.1 A Combined Selection's Type Maximum is the lowest weight and lowest volume maximum among the selected types.
6.2 The estimate uses only disposal facilities that accept every selected type and declared Specialty Item, at the highest rate each facility charges among the selected types. Specialty Items are priced per item.
6.3 Material of a type not selected, where Company elects under Agreement Section 4.1 to collect it, is recalculated under Agreement Section 8.5, and the Type Maximum and facility rules for the recalculated combination apply.
6.4 Roofing Debris cannot be part of a Combined Selection (Section 4).
SECTION 7 — SPECIALTY ITEMS
Specialty Items are accepted only when declared at booking, within any quantity cap shown at booking, and are routed only to facilities that accept them.
- Appliances without refrigerant (washers, dryers, ranges, dishwashers, furnaces, and similar).
- Appliances that contain or contained refrigerant (refrigerators, freezers, window and portable air conditioners, dehumidifiers, and water coolers). An appliance whose refrigerant was removed or leaked out is still a refrigerant appliance. Declare each one at booking and choose one of three options (Agreement Section 4.5(b)). One option applies to all refrigerant appliances on a booking; if yours need different options, choose (i) where offered or contact us before booking. Central or split-system air conditioners, heat pumps, condensing units, and other refrigerant equipment that is not a self-contained household unit are accepted only under option (ii):
- (i) We handle it — Refrigerant Recovery at Facility. Leave the appliance as it is; the disposal facility recovers the refrigerant. Any facility charge for the appliance or its recovery is passed through at actual cost. Only a limited number of facilities perform recovery. This option shows at booking only when such a facility accepts everything else in your load, and it sends your whole load there — which may be farther and more expensive, and will likely increase your estimate. If the facility is unavailable or refuses the load, rerouting is handled under Agreement Section 8, and the appliance goes only to a facility that performs recovery.
- (ii) Already recovered. A certified technician has removed the refrigerant. Give us their name and address and the date of recovery, at signing or through the link we send.
- (iii) Already leaked out. The refrigerant escaped before delivery through a system failure, accident, or other unavoidable occurrence — not caused by anyone's negligence or deliberate act (such as cutting lines) — so recovery isn't possible. Certify this at signing; a short description is optional.
- Tires, off the rim only — no more than 10 per booking, or the lower cap shown at booking. Company does not transport more than ten (10) tires in any load; undeclared tires above that number are never collected under Agreement Section 4.1.
- Mattresses, box springs, and futons.
- Electronics, with all batteries removed. Devices with built-in batteries that cannot be removed (phones, laptops, tablets, cordless tools, vapes) are prohibited.
- Paint, only fully dried and solid (lid off). Liquid paint is always prohibited.
Specialty Items not declared, or above the declared quantity, are treated under Agreement Sections 1.8, 4.1, and 8.5, except that an undeclared refrigerant appliance, or one without the certification its option requires, is governed by Agreement Section 4.5(b) and may be refused.
SECTION 8 — PRE-LOADING QUESTIONS
For any material not clearly addressed here, ask before loading — through your booking link, by email to support@camo-can.com, or by text to (918) 935-1054 (Agreement Section 1.21). Company's written response controls for that booking, is recorded in the Basis Record, and is received under Agreement Section 3.12. Until Company approves the material in writing, it remains prohibited — silence, a late response, or a verbal statement is not approval. Company's online load estimator is a planning tool only; this Addendum controls what may be loaded.
SCHEDULE A-1 — PROHIBITED MATERIALS SCHEDULE (ALL WASTE TYPES)
The following may not be placed in the Dumpster under any waste type. Company's online disposal guide explains these items and where to take them; if the guide and this Schedule differ, this Schedule controls.
- Hazardous Materials as defined in Agreement Section 4.1, including ignitable, corrosive, reactive, and toxic materials
- Liquid paint, stains, varnishes, thinners, solvents, and acetone (dried paint only as a declared Specialty Item)
- Batteries of every kind, including alkaline
- Motor oil, used or waste oil, fuels, antifreeze, and other automotive fluids; cooking oil and grease; oilfield and drilling wastes of every kind, including salt water, brine, produced water, drilling mud, tank bottoms, and other oilfield fluids, and tanks, totes, drums, and equipment that held them; and any free liquids
- Propane tanks and compressed-gas or pressurized cylinders of any kind, empty or not; aerosol cans that are not empty
- Asbestos-containing material
- PCB-containing materials, such as older light ballasts
- Fluorescent tubes, CFLs, and other lamps; mercury-containing devices such as thermostats and switches
- Smoke detectors
- Medical waste, sharps, and pharmaceuticals
- Radioactive materials
- Ammunition, fireworks, and explosives
- Pool chemicals, pesticides, herbicides, and fertilizers, and tanks, sprayers, and containers that held them, except truly empty containers
- Household cleaners and chemicals, except truly empty containers
- Ink, toner, and resins
- Drums or bulk containers with residue or unknown contents
- Contaminated soil and absorbents
- Railroad ties and creosote-treated timbers
- Water heaters and cast-iron tubs
- Tires on rims, and any Specialty Item not declared at booking
- All heavy dense materials listed in Section 1.1
- Bulk food waste and other bulk putrescible waste; incidental food waste in bagged household trash accepted under Section 2 is not bulk (yard waste is accepted only as Yard Waste under Section 5)
- Any material the receiving facility cannot lawfully accept
- Ashes of any kind, hot or cold, coals, embers, or smoldering material
